RECOMMENDATION:
It is recommended that the Monterey County Water Resources Agency Board of Directors:

Consider and provide direction concerning amendments to the Bylaws of the Monterey County Water Resources Agency Board of Directors.

SUMMARY/DISCUSSION:
Staff and the ad-hoc committee on Bylaw amendments have proposed revisions to the Bylaws that are attached hereto as Attachment 1. The Bylaws were last amended in September 19, 2016, and many of the attached revisions are simply clean-up measures. Specifically, proposed changes to "Section V. Meetings" have been made to update language concerning the Brown Act, and establishing a quorum on committees.

Another proposed amendment is to allow the Chair of the Board of Directors to serve a two-year term starting in January 2020, and the Vice Chair will continue to serve a one year term.

Section 2.04 of the Bylaws sets Director compensation at $50.00 per meeting. This amount is also set by Monterey County Water Resources Agency Ordinance No. 3609 (adopted on June 9, 1992). An ordinance amending Ordinance No. 3609 would need to be adopted by the Board of Supervisors to amend this compensation amount. The bylaws could then be amended with the new compensation amount. Staff can pursue this ordinance change at the Board of Director's request. Ordinance No. 3609 is attached hereto as Attachment 2.

Staff wishes to receive direction from the Board of Directors on the proposed amendments, and any other suggested amendments to the Bylaws. Once direction is received, staff will bring the final revised Bylaws back to the Board in November 2018.

OTHER AGENCY INVOLVEMENT:
None.

FINANCING:
There is no anticipated fiscal impact to the adoption of the draft Bylaws amendments.
