It is recommended the Board of Supervisors:
Ratify and Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute Renewal & Amendment No. 5 to the Agreement (A-11123) with MModal Services LTD, retroactive to July 1, 2015, for medical dictation and transcription services at NMC, to extend the term of the Agreement for an additional one (1) year period for a revised full term of March 24, 2008 through June 30, 2016 with no increase to the previously approved Agreement amount of $4,000,000.
SUMMARY/DISCUSSION:
MModal Services LTD provides remote transcription of medical record reports from the Medical Records and Radiology departments at NMC. The medical record reports contain patient specific data and information to facilitate patient care and treatment. The transcribed documentation must reflect the care rendered to the patient and the patient's response. The health record is considered a legal document and a business record as it records events at or about the time they happen. There are federal and state accrediting agency requirements for when patient information needs to be made available to caregivers. Additionally, insurance companies may require copies of the reports for validation of the patient's stay.
The Radiology department at NMC utilizes a software application provided by MModal called PowerScribe 360. This software offers radiologists a leap forward in speech recognition technology with better speed, accuracy, and control. PowerScribe 360 has integrated productivity tools that allow radiologists to create and turn around diagnostic imaging interpretations much faster than previous workflows allowed. This software takes radiology speech recognition reporting to the next level as the new industry standard for report creation, multi-site workflow, data capture, and communication. PowerScribe 360 also allows healthcare facilities and third-party solution providers to integrate applications directly into this extensible platform.
This Renewal & Amendment No. 5 is being requested to incorporate a slight increase to the billing rates charged for domestic transcription services from $.00284 to $.002911 per each unit, to add rates for global transcription at $.002761 per unit and to add a cost for domestic editing labor for radiology PACS reports of $2.03 per report. Renewal and Amendment No. 5 also includes an updated Business Associates Agreement and extends the term of the Agreement for one additional year. There is $786,453 remaining unspent of the previously approved total amount of $4,000,000, therefore NMC is not requesting an increase to the total Agreement amount.
This Renewal and Amendment No. 5 was not completed prior to expiration of the term of the Agreement which was on June 30, 2015 because of a late request to negotiate some of the terms and conditions in the Business Associates Agreement that is attached to the Renewal and Amendment No. 5. Both parties did agree to some modifications, which were approved by county counsel, but NMC needs to request the Renewal and Amendment No. 5 be retroactive to July 1, 2015 so as to cover services rendered since that time.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Renewal & Amendment No. 5 as to legal form and risk provisions, and the Auditor-Controller has reviewed and approved as to payment provisions. This Renewal & Amendment No. 5 was submitted for and included on the 9/24/15 NMC Finance Committee agenda, however the NMC Finance Committee meeting was cancelled. Renewal and Amendment No. 5 has been reviewed and approved by NMC’s Board of Trustees on 10/2/15.
FINANCING:
There is no cost for this Renewal & Amendment No. 5. $700,000 is included in the Fiscal Year 2015-16 Adopted Budget for this Agreement. There is no impact to the General Fund.
