RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.                     Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) to execute the Second Amendment to Professional Services Agreement with Trupti Nitin Nangare M.D. to provide hospitalist services at NMC effective July 1, 2015, extending the term by twenty-four months and adding $100,000, for revised not to exceed amount of $200,000 for the full term of the Agreement July 1, 2011 to June 30, 2017; and

SUMMARY/DISCUSSION:

NMC operates two medical surgical units (35 beds) and one intensive care unit (10 beds) that provide 24 hours, 7 days a week direct patient care to acutely ill hospitalized patients.  In order to efficiently staff these units and 24/7 patient care, it requires a total of six full time equivalent (FTE) hospitalists and critical care providers made up of full-time employee and part-time independent contractor physicians.

NMC entered into an Agreement with Trupti Nitin Nangare to provide hospitalist services on July 1, 2012.  The Agreement was amended July 1, 2013 to extend the term and assigned on September 1, 2013. NMC wishes to enter into this Second Amendment to extend the term an additional twenty four (24) months and add to the amount payable for services provided during the extended term.  NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved this Amendment as to legal form and risk provisions.  Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions.  The Amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee on April 23, 2015 and Board of Trustees on May 1, 2015.

FINANCING:

The cost of this Amendment is $100,000.  The total not to exceed amount of this Agreement is $200,000 for the period July 1, 2012 to June 30, 2017.  $60,877 was disbursed in Fiscal Year 2011/2012; $36,745 was disbursed in Fiscal Year 2012/2013; $31,928 was disbursed in Fiscal Year 2013/2014; and $23,272 has been disbursed in Fiscal Year 2014/2015.  $50,000 is included in the Fiscal Year 2015/2016 recommended budget.  The actual spend is dependent on Dr. Nangare’s availability to cover the service.  The remaining amount will be budgeted in subsequent years.  There is no impact to the General Fund.
