a. Approve and authorize the Director of Health or Assistant Director of Health to execute Amendment No. 1 to Mental Health Services Agreement A-15302 with Interim, Inc. for residential and outpatient mental health services for Monterey County residents ages 18 and older to include an additional $181,356 in federal grant funds for increased homeless outreach and wellness navigation services, and to revise the FY 2021-22 rates and estimated units for Adult Crisis Residential, outpatient Case Management and Mental Health Services effective January 1, 2022, resulting in a revised FY 2020-21 total annual amount of $16,752,672 and a revised total Agreement amount not to exceed $32,947,869 for the same term of July 1, 2021 to June 30, 2023; and
b. Approve and authorize the Director of Health of Assistant Director of Health to execute a non-standard Business Associate Agreement (BAA), incorporated and made part of this Amendment No. 1 as Exhibit F, with a non-standard cyber-liability insurance requirement, reducing the insurance limits from $10,000,000 to $2,000,000 per claim and in the aggregate, as recommended by the Director of Health.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of Health or Assistant Director of Health to execute Amendment No. 1 to Mental Health Services Agreement A-15302 with Interim, Inc. for residential and outpatient mental health services for Monterey County residents ages 18 and older to include an additional $181,356 in federal grant funds for increased homeless outreach and wellness navigation services, and to revise the FY 2021-22 rates and estimated units for Adult Crisis Residential, outpatient Case Management and Mental Health Services effective January 1, 2022, resulting in a revised FY 2020-21 total annual amount of $16,752,672 and a revised total Agreement amount not to exceed $32,947,869 for the same term of July 1, 2021 to June 30, 2023; and

SUMMARY/DISCUSSION:
Monterey County has contracted with Interim, Inc. for forty-five years to provide residential and day treatment programs, supportive housing, homeless outreach, peer navigation and community-based wellness and recovery activities that provide normalizing experiences for adults with serious mental illnesses, many of whom also have co-occurring substance abuse disorders. This Amendment No. 1 includes an additional $181,356 in federal grant funds for increased homeless outreach and wellness navigation services and revises the FY 2021-22 rates and units for Adult Crisis Residential, outpatient Case Management and Mental Health Services effective January 1, 2022, resulting in a revised FY 2021-22 total annual amount of $16,752,672 and a revised total Agreement amount not to exceed $32,947,869. for the same term July 1, 2021 to June 30, 2023.
The BAA for which the Health Department seeks approval was drafted using the Department’s Board-approved BAA template, which unmodified requires the contractor to obtain cyber-liability insurance with limits of $10 million per claim and in the aggregate. Because of the high cost of cyber-liability insurance, Interim, Inc. has requested a reduction in the insurance limits to the limits of its current insurance coverage.
This Agreement contains the County’s standard 30-day “no cause” provision (Section IV.B.) and a defunding provision (Section IV.D.), which provides the County the ability to amend or terminate the Agreement in the event of a reduction and/or termination of funding.
This work supports the Monterey County Health Department 2018-2022 Strategic Plan Initiative: 3. Ensure access to culturally and linguistically appropriate, customer-friendly, quality health services. It also supports one or more of the ten essential public health services, specifically: 7. Link people to needed personal health services and assure the provisions of health care when otherwise unavailable.
OTHER AGENCY INVOLVEMENT:
The office of the County Counsel has reviewed and approved this Amendment No. 1 as to form. County Counsel-Risk Manager has reviewed and approved this Amendment No. 1 and concurs with the Director of Health’s recommendation regarding cyber-liability coverage. Auditor-Controller have reviewed and approved this Amendment No. 1 as to fiscal provisions.
FINANCING:
This Amendment No. 1 increases the current FY 2021-22 total amount by $181,356 for a revised annual total of $16,752,675 and a revised total Agreement amount not to exceed $32,947,869. This Amendment No. 1 is funded by Mental Health Realignment (3%), Federal Financial Participation (39%), Mental Health Services Act Funds (56%), and federal grant funds (2%). The funds for FY 2021-22 are included in the Health Department’s Behavioral Health Bureau (HEA012, Unit 8410) FY 2021-22 Adopted Budget.
