a. Ratify Assignment and Assumption Agreement between Sports Car Racing Association of the Monterey Peninsula (SCRAMP) and County, effective May 23, 2019, as signed by the Contracts/Purchasing Officer assuming all obligations of the original agreement and Amendments Nos. 1-4 between the Sports Car Racing Association of the Monterey Peninsula (SCRAMP) and Ticketmaster, LLC.; and
b. Approve and authorize the Assistant County Administrative Officer, or designee, to execute Amendment No. 5 to the Agreement with Ticketmaster, LLC for remote ticket sales at WeatherTech Raceway Laguna Seca extending the agreement through December 31, 2021.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Ratify Assignment and Assumption Agreement between Sports Car Racing Association of the Monterey Peninsula (SCRAMP) and County, effective May 23, 2019, as signed by the Contracts/Purchasing Officer assuming all obligations of the original agreement and Amendments Nos. 1-4 between the Sports Car Racing Association of the Monterey Peninsula (SCRAMP) and Ticketmaster, LLC.; and
b. Approve and authorize the Assistant County Administrative Officer, or designee, to execute Amendment No. 5 to the Agreement with Ticketmaster, LLC for remote ticket sales at WeatherTech Raceway Laguna Seca extending the agreement through December 31, 2021.
SUMMARY/DISCUSSION:
This request supports extending the use of Ticketmaster, LLC for the sale of all remote tickets for each of the special events held at Laguna Seca Recreation Area and WeatherTech Raceway Laguna Seca through Amendment No. 5 effective upon approval.
The original agreement was made between the Sports Car Racing Association of the Monterey Peninsula (SCRAMP) and Ticketmaster LLC effective January 1, 2005. Four previous amendments were made to the agreement in 2009, 2011, 2013 and 2015. An Assignment and Assumption Agreement was entered into between SCRAMP and the County of Monterey effective May 23, 2019.
The ticketing services for Laguna Seca Recreation Area and WeatherTech Raceway Laguna Seca was in the RFP process when the COVID-19 pandemic hit in early 2020 and the process was terminated. The RFP process has begun again, however, it will take several months to complete, and the services provided by Ticketmaster are critical to the success of the racing and special events for the upcoming 2021 season. Therefore, approval of this Amendment for the 2021 season, expiring on December 31, 2021, is requested.
The County also assumes all terms and conditions of the original Agreement between SCRAMP and Ticketmaster LLC which shall remain in full force and effect.
OTHER AGENCY INVOLVEMENT:
The Office of County Counsel has approved the Amendment as to form.
The Treasurer-Tax Collector has reviewed the agreement and has declined to approve as the terms previously negotiated lack sufficient details regarding the vendor’s payment acceptance, payment processing, financial settlements and reporting obligations.
FINANCING:
The contract with Ticketmaster, LLC will be funded through Fund 453 Laguna Seca Budget Unit 8536. Funding for the Agreement is included in the FY 2020-2021 Approved Budget. Approval of the recommended action will have no additional impact on the County General Fund.
