a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Fifth Amendment to the Professional and Call Coverage Services Agreement (A-15010) with Ventana Faculty Medical Associates to provide family medicine physician and physician assistant services, extending the term an additional twelve months (July 1, 2025 to June 30, 2026) for a revised full agreement term of November 1, 2020 to June 30, 2026, adding $300,000 for a revised total not to exceed amount of $1,500,000 in the aggregate; and
b. Authorize the CEO for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work, do not exceed 10% ($50,000) of the original contract amount and do not increase the total contract amount above $1,550,000.

RECOMMENDATION:
It is recommended that the Board of Supervisors
a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Fifth Amendment to the Professional and Call Coverage Services Agreement (A-15010) with Ventana Faculty Medical Associates to provide family medicine physician and physician assistant services, extending the term an additional twelve months (July 1, 2025 to June 30, 2026) for a revised full agreement term of November 1, 2020 to June 30, 2026, adding $300,000 for a revised total not to exceed amount of $1,500,000 in the aggregate; and
b. SUMMARY/DISCUSSION:
NMC has an agreement with Ventana Faculty Medical Associates to make available family medicine physicians to provide services including inpatient rounding, supervising residents in the Family Practice Residency Program. Physician services in the County NIDO clinic and medical director and physician assistant services in the hospital’s mental health unit and County juvenile hall are also provided through this agreement. Natividad wishes to amend the agreement with Ventana to modify the compensation which requires an extension of twelve months to comply with state and federal guidelines. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Amendment as to legal form. Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions. The Amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee and Board of Trustees.
FINANCING:
The cost of this Amendment is $300,000. The total not to exceed amount of this Agreement is $1,500,000 for the period November 1, 2020 to June 30, 2026. $300,000 is included the Fiscal Year 2024/2025 Adopted Budget. Funding will be provided from NMC's Enterprise Fund 451-9600-6608.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
The services rendered in this agreement are required for Natividad’s Family Medicine Residency Program and provide Natividad with the additional support it needs in order to provide reliable and high-quality patient care which improves the health and quality of life for patients and their families.
