RECOMMENDATION:
It is recommended that the Board of Supervisors:
Approve and authorize the Contracts/Purchasing Officer to execute Amendment No. 8 to the Master Proprietary Software License Agreement No. 1396836 with CGI Technologies and Solutions, Inc. for CGI Advantage and identified subsystems and third-party products, adding specified CGI Advantage software products, licenses for third-party software products bundled with CGI software, and licenses to upgraded bundled software, at no additional cost to the County.
SUMMARY/DISCUSSION:
On April 1, 2008, the Board of Supervisors approved and authorized the Contracts/Purchasing Officer to sign the Master Proprietary Software Maintenance Agreement, No. 1396836 with CGI Technologies (CGI). Agreement No. 1396836 provided for the purchase of licenses to CGI’s proprietary software product known as CGI Advantage, including identified subsystems and third- party products.
Proposed Amendment No. 8 provides for the continuance of County software licenses for CGI Advantage software products, for County licenses for the software products of third-party entities bundled with and integrated into CGI software, and for upgraded bundled third-party software. Amendment No. 8 provides that the software licenses specified have been granted to the County for previously-paid license fees. It further provides that there are no license fees due for upgraded Bundled Products. Thus, no additional license fees are required by Amendment No. 8.
Amendment No. 8 to the Master Proprietary Software Maintenance Agreement No. 1396836 does not change non-standard provisions previously approved by the Board. It provides that all contract terms remain unchanged, except as specified by the amendment.

OTHER AGENCY INVOLVEMENT:
County Counsel does not approve continuance of non-standard provisions in Agreement No. 1396836, as provided by Amendment No. 8.
FINANCING:
There is no cost associated with Amendment No. 8.

Approval of the proposed amendments will enable the County to reliably perform essential County human resources functions.
