Title: a. RECOMMENDATION:
It is recommended that the Board of Supervisors:
a)      Authorize the Purchasing Manager for Natividad Medical Center (NMC) to execute the First Amendment to Professional Medical Services Agreement with Ventana Faculty Medical Associates of Monterey County to provide Family Medicine Services at NMC extending the term of the Agreement January 1, 2014 to December 31, 2015 and adding $2,055,000 to the extended period, for a revised total amount not to exceed $4,110,000 in the aggregate (for the period January 1, 2012 to December 31, 2015); and
b)      Authorize the Purchasing Manager for NMC to sign up to three (3) amendments to this agreement where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work.
 
SUMMARY/DISCUSSION:
 
NMC requires up to three full time physicians from the Ventana group to provide physician services in Family Medicine that include inpatient rounding and call coverage; the supervising Residents in the Family Practice Residency Program; and in the Health Department clinic and Natividad Immunology Division Outpatient (NIDO) clinic. In addition to the physician services just described, Ventana also provides Family Medicine psychology services and Family Medicine physician assistant services.  The group has consistently provided high quality dependable services at NMC for over fifteen years.
 
The maximum liability during the first twenty four (24) months of the agreement was $2,055,000, of which $1,559,395 was disbursed.  NMC wishes to amend the agreement to add $2,055,000 to the maximum liability and extend the term an additional twenty four (24) months for the same scope of services at the same rate of pay, in order to continue to provide family medicine services to NMC patients without interruption.  The maximum liability includes the maximum coverage and incentives.  Ventana Faculty Medical Associates is paid according to the terms of the agreement for call and professional services.  This amendment does not increase the rate of pay.  The amount of services provided may increase due to patient volume, but will not exceed the maximum liability of the agreement or increase the rate of pay for services.  NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
 
OTHER AGENCY INVOLVEMENT:
 
County Counsel has reviewed and approved this Amendment/Agreement as to legal form and risk provisions.  Auditor-Controller has reviewed and approved this Amendment/Agreement as to fiscal provisions.  The Amendment/Agreement has also been reviewed and approved by Natividad Medical Center's Board of Trustees.
 
FINANCING:
 
The total cost for this Amended Agreement is $4,110,000 for the period January 1, 2012 to December 31, 2015.  $373,600 was disbursed in Fiscal Year 2011/2012 (6 months); $772,796 in Fiscal Year 2012/2013; $826,000 is included in the Fiscal Year 2013/14 Adopted Budget of which $413,000 has been disbursed year to date.   The remaining $1,642,000 will be budgeted in subsequent fiscal years.  There is no impact to the General Fund.
