SUMMARYIDISCUSSION:

The proposed project consists of development of a neighborhood retail village containing

approximately 126,523 square feet of retail and office space with approximately 508 parking

spaces. The subject site consists of two separate parcels containing approximately 11 acres and is

located on the southeast corner of the State Highway 68/Corral de Tierra Road intersection in the

Corral de Tierra/San Benancio area. The two major components of the project application are a

standard subdivision vesting tentative map to divide the two existing parcels into seven lots

ranging in size from 2.4 to 0.9 acres; and a zoning reclassification to remove the B-8" overlay

zoning district from the parcel's LC/B-8-D" Light Commercial) zoning designation. The latter

is a critical component of the application since this overlay district was applied by the Board of

Supervisors BOS) due to a lack of adequate potable water resources to serve additional

development in an area which encompasses a significant portion of the Corral de Tierra/San

Benancio area.

The original PSA and Funding Agreement FA) previously approved by the BOS on July 27,

2004 expired prior to completion of the EIR due to the unavailability of the Toro B-8 Watershed

Hydrologic Study. The previous PSA, approved by the BOS on September 25, 2007 was

intended to allow LSA Associates, Inc. to complete the FEIR for the project. The PSA expired

prior to completion of the authorized tasks. The costs for this PSA were covered through FA No.

2 with Omni Resources, LLC, Project Applicant, in an amount not to exceed $191,297 pursuant

to the Settlement and Release Agreement. Additional charges for the completion of the FEIR for

the project were to be paid by County. The Settlement and Release Agreement also specified a

timeframe for completion of the processing of the application.

This PSA with LSA Associates, Inc. will have a substantially similar scope of work to the

previous PSA and will allow for completion of the FEIR for the Corral de Tierra Neighborhood

Retail Village Subdivision. The related FA No. 3 will allow funding of costs incurred by LSA

Associates, Inc. for completion of the FEIR. The term of the PSA and FA No. 3 will be through

June 30, 2010.

The Office of County Counsel and Auditor-Controller Office will review the Agreements as to

form and fiscal provisions, respectively.

FINANCING:

Pursuant to the terms of FA No. 2 and the Settlement and Release Agreement with Omni

Resources, LLC and the County, the expenses of LSA Associates, Inc. for the completion of the

FEIR were provided through FA No. 2 with Omni Resources, LLC, Project Applicant, in an

amount not to exceed $191,297. Of the $191,297 allocated for usage, an amount of $1,414 was

unused and will be transferred to FA No. 3. Expenses for LSA Associates, Inc. for completion

of the FEIR will not exceed $1,414 in FA No. 3. Remaining expenses for LSA Associates, Inc.

for completion of the FEIR will not exceed a total amount of $68,586 and will be funded by the

Planning Department under the terms of the Settlement and Release Agreement. Staff will

update the Board of Supervisors during the County's Mid-Year Financial Report.

1. TASKS TO COMPLETE ADEIR

la. Aesthetics, Biological Resources and Land Use Analyses:

LSA will provide the County with completed ADEIR sections for aesthetics, land use, and

biological resources based on existing project information that has not changed and according to

the scope of work provided under Agreement No. A- 11020.

LSA has already provided the County with the following draft ADEIR sections as part of the partial

draft ADEIR submittal February 2008): Introduction, Project Description, Cultural Resources,

Geology and Soils, Hazards, Population and Housing, Public Services, Utilities, and List of

Preparers and References to date.

lb. Traffic Analysis:

LSA will provide the County with a complete Traffic section based on the March 11, 2009 Final

Traffic Report provided to LSA by the County on June 30, 2009. LSA understands that the County

has reviewed and approved the traffic report for use in the EIR and that LSA is not responsible for

additional peer review for CEQA adequacy. The Traffic section will be prepared as specified in

LSA scope of work provided under Agreement No. A-11020.

1c. Air Quality Analysis:

LSA will provide the County with a complete Air Quality section based on the March 11, 2009

Final Traffic Report provided to LSA by the County on June 30, 2009. The Air Quality analysis

will be prepared as specified in LSA scope of work provided under Agreement No. A-11020.

1d. Noise Analysis:

LSA will provide the County with a Noise section based on the March 11, 2009 Final Traffic

Report. The Noise analysis will be prepared as specified in LSA scope of work provided under

Agreement No. A11020.

le. Global Climate Change Analysis/Greenhouse Gases Emissions:

LSA will add a discussion of greenhouse gases associated with the proposed project and their

potential effects on global climate change as part of the Administrative Draft EIR. Regulatory

requirements on such emissions, if any, will be identified. Emissions of carbon dioxide C02), a

key greenhouse gas identified in AB32, and other major greenhouse gases such as methane CH4)

and nitrous oxide N2O) from direct such as building heating systems) and indirect project-

related sources such as power plant emissions from increased electricity demand) will be

calculated. The project total green house gas emissions will be put in context of the regional area

emissions.

LSA understands that the County will have reviewed and approved the new water demand,

percolation and storm water calculations for use in the EIR as adequate for CEQA and that LSA is

not responsible for additional peer review to complete the EIR Hydrology, Water Supply and

Stormwater analyses. If the County prefers that an independent consultant take the lead on technical

water-related issues, LSA can arrange to team with a subconsultant to peer review the new water-

related information and revise the hydrology, water supply and stormwater analyses accordingly.

1g. Alternatives Analysis:

The Alternatives chapter of the ADEIR will include analysis of three project alternatives including

the No Project alternative, and Alternative No. 1 and Alternative No. 2 as outlined in the June 19,

2009 letter from the County. Per our discussions, County staff will provide LSA with complete

descriptions of Alternative No. 1 Silver-Certified LEED Alternative) and Alternative No. 2 a

smaller size project without a subdivision) for use in the Alternatives Analysis of the EIR.

Pursuant to CEQA Guidelines Section 15126.6, the Alternatives Analysis will include an

evaluation of the build and No Project alternatives to provide the decision-makers and the public

with sufficient information regarding the potential environmental effects of the project alternatives

in comparison with the effects of the proposed project, but at a less detailed level. The focus of the

Alternatives Chapter will be to evaluate alternatives to the proposed project that could avoid or

substantially lessen the significant impacts of the proposed project. The build alternatives provided

by the County in the June 19, 2009 letter are anticipated to have less overall environmental impacts

than the proposed project.

The potential environmental effects of each alternative will be qualitatively compared to those of

the proposed project approximately the same, less than or greater than). A comparison matrix will

be prepared that summarizes the environmental effects of each alternative and the proposed project.

Recently provided water demand estimates for the build alternatives will be included in the analysis

as specified in the County's June 19, 2009 letter.

2. DRAFT EIR

The following sections were included as complete in the partial draft ADEIR submittal February

2008): Introduction, Project Description, Cultural Resources, Geology and Soils, Hazards,

Population and Housing and Public Services, and List of Preparers and References to date. These

sections, in addition to the sections that will be prepared based on the applicant's new information,

will be revised per comments from the County and incorporated into the Draft EIR.

LSA will amend the Administrative Draft EIR based on one set of consolidated non-contradictory

comments received from County staff. LSA has allotted time for responding to changes; however, if

this task were to exceed the cost allotted in the budget due to changes in the project description or

requests for additional analysis or edits that are not necessary to prepare a legally adequate

document, the additional cost would be billed on a time-and-materials basis.

DEIR Deliverables

One pre-print review copy of the Draft EIR will be provided to the County in electronic file format

CDROM) as well as one master print copy.

Draft EIR for public review: One CD-ROM with all electronic files of the DEIR and technical

appendices will be delivered to the County. The County will make all necessary print copies and

will distribute the document to the State Clearinghouse, other public agencies and interested parties

on the County's DEIR distribution list for the proposed project.

The County will prepare and file all required Notices required by CEQA.

3. FINAL EIR: RESPONSES TO COMMENTS, MITIGATION

MONITORING PROGRAM AND REVISED DRAFT EIR

Consistent with the scope of work in Agreement No. A- 11020, LSA will prepare draft responses to

comments on the Draft EIR, including written comments received from the public and agencies, and

prepare a Final EIR. Included in the draft Final EIR for County review will be the Draft EIR with

any necessary revisions), a list of all commenters and any organizations with which they are

formally affiliated, copies of all written comments, and responses to each comment received. LSA

will discuss the preferred approach to the responses with County staff at a meeting following the

close of the comment period. Should an unexpectedly large volume of comments be submitted or

should comments require a substantial amount of effort to address i.e., additional analysis) beyond

what is provided in the budget, an adjustment to the FEIR task budget may be required. At this

point in time, as a cost saving measure, I.SA is not contracting with a subconsultant e.g.,

WorleyParsons Komex) to address technical water-related issues and recommends that the County

be responsible for addressing all technical water-related comments. If the County prefers that an

independent consultant take the lead on technical water-related issues, LSA can arrange to team

with a subconsultant for the Responses to Comments task.

After review of the draft responses to comments and Final EIR by County staff and receipt of

non-contradictory comments, LSA will amend the draft Final EIR for final review by County

staff. We have allotted time for responding to changes; however, if this task were to exceed the

cost allotted in the budget, the additional cost would be billed on a time-and-materials basis.

As part of the draft Final EIR, LSA will prepare a Mitigation Monitoring Program MMP) for the

project and will identify responsibility for implementing and monitoring each mitigation measure,

along with monitoring triggers and reporting frequency, subject to approval by County staff. LSA

will also work with County staff to ensure that the program is prepared in the required format and

tailored to the County's Zoning and Building Permit procedures. A checklist will be prepared

listing measures and providing a column for verification of compliance. Monitoring will be

dovetailed with existing processes of project design, development, and review. A revised MMP

will be prepared pursuant to County review comments on the draft MMP. The final MMP will be

included in the Final EIR.

FEIR Deliverables

Draft Final EIR including responses to comments and revised Draft EIR and MMP: electronic

files and one master print copy for County review.

Final EIR for Decision Makers Review: Electronic files and one master copy for printing and

distribution by the County.

4. MEETINGS AND PUBLIC HEARINGS

Our original scope of work stated that LSA's Principal in Charge/Project Manager would be

available throughout the EIR preparation period to meet with County staff and the project team to

gather information, review progress, arrive at a reasonable range of alternatives, review

preliminary findings, discuss staff comments, and offer input into discussions on project

modifications. Based on the previous work conducted under Agreement No. A-11020, the

remaining meetings and hearings in our original scope of work include:

 one Subdivision Committee meeting, and

 two Planning Commission meetings, and

 one Board of Supervisors hearing.

LSA would be available for additional meetings on a time-and-materials basis.

BUDGET ESTIMATE

In light of the County's budgetary constraints for the project EIR, LSA has incorporated

specifications in this scope of work for the County's consideration to minimize costs while

producing a legally defensible CEQA document for the County. These specifications are

summarized as follows:

1. County conduct peer review of technical traffic analysis prepared by Hexagon for CEQA

adequacy and provide approved analysis to LSA for incorporation into the EIR done);

2. County conduct peer review of recent water demand estimates, percolation and storm water

calculations for the proposed project and project alternatives and provide approval for use in

the FIR;

3. The County is responsible for all technical water reviews, including drafting responses to

public comment;

4. County provide sufficiently detailed description of Alternatives 1 and 2 as noted in the

County's June 19, 2009 letter to LSA;

5. EIR Deliverables: County to be responsible for reproduction copies of public review Draft

FIR and Final EIR, distribution of the Draft EIR and Final EIR, preparation of all necessary

public notices and submittal to State Clearinghouse and County Clerk.
