Resolution recognizing Community Hospital of the Monterey
Peninsula for its support of Natividad Medical Center NMC)
through the Intergovernmental Transfer & Grant Agreement.
WHEREAS, Natividad Medical Center NMC), founded in 1886 as a co unity hospital, is
now an established 172-bed acute care hospital providing comprehensive, high quality acute
medical care, health and wellness services and serves as Monterey County' teaching hospital
and center for academic excellence; and
WHEREAS, Monterey County is one of the remaining 15 California Cour
public safety net hospitals and that Natividad Medical Center is the prii
provider to the poor and indigent, delivering care to all who need it, regardle
immigration status or insurance; and

WHEREAS, Monterey County is committed to operating Natividad Medical Center within
budgetary limits; and
WHEREAS, Natividad Medical Center has experienced significant financial distress and losses
exceeding $24 million per year by the year 2006 with an anticipated cum lative loss of $70
million; and
WHEREAS, Community Hospital of the Monterey Peninsula, a Califo is nonprofit public
benefit corporation is dedicated to identifying and meeting the changing hea thcare needs of the
residents of Monterey County; and
WHEREAS, while Monterey County was striving to identify viable fis al alternatives for
continued operation of Natividad Medical Center, Community Hospital of the Monterey
Peninsula and its leadership offered technical and financial support to e-engineer NMC's
operations and stabilize its financial status by entering into an Intergov rnmental Transfer
Agreement effective July 18, 2006. This agreement constituted a coop rative arrangement
between Community Hospital, the County and Salinas Valley Memorial Hea thcare System, and
included the transfer of funds to the hospital, with supporting representation and oversight at
NMC by Community Hospital representatives on the NMC Board of Trustees; and
WHEREAS, in order to ensure development of a sustainable operational plan for Natividad
Medical Center, Community Hospital of the Monterey Peninsula has a eed to continue its
support through an extension of the Intergovernmental Transfer & Grant Agreement; and
WHEREAS, Community Hospital of the Monterey Peninsula, through ag eement, has agreed
to provide one representative on the NMC Board of Trustees through Janu ry 1, 2009 and one
representative through July 17, 2009; and

WHEREAS, Community Hospital of the Monterey Peninsula's financial and organizational
contributions have greatly contributed to the dramatic fiscal turnaround and operational
improvements at NMC by 2008; and
WHEREAS, Community Hospital of the Monterey Peninsula's support of NMC exemplifies
Community Hospital's leadership role and community spirit in ensuring medical services to
benefit all Monterey County residents.
NOW, THERFORE BE IT RESOLVED, that the Board of Supervisors of the County of
Monterey on behalf of the County and all citizens thereof, hereby expresses its most sincere
appreciation to Community Hospital of the Monterey Peninsula, its CEO and entire Board of
Trustees for their contributions to stabilize and support NMC to ensure its continued service to
Monterey County as our communities' critical public safety net hospital and regional medical
teaching institution.
PASSED AND ADOPTED on this 24th day of June, 2008, upon motion of Supervisor Calcagno,
seconded by Supervisor Salinas, by the following vote, to-wit:

WHEREAS, Natividad Medical Center has experienced significant financial distress and losses
exceeding $24 million per year by the year 2006 with an anticipated cumulative loss of $70
million; and
WHEREAS, Salinas Valley Memorial Healthcare System SVMHS), a California local public
district hospital, is committed to maintaining and improving the health of all residents in
Monterey County; and
WHEREAS, while Monterey County was striving to identify viable fis al alternatives for
continued operation of Natividad Medical Center, Salinas Valley Memorial Healthcare System
and it's leadership offered technical and financial support to re-engineer N C's operations and
stabilize its financial status by entering into an Intergovernmental Transfer Agreement effective
July 18, 2006. This agreement constituted a cooperative arrangement between SVMHS, the
County and Community Hospital of the Monterey Peninsula, and included the transfer of funds
to the hospital, with supporting representation and oversight at NMC by SV HS representatives
on the NMC Board of Trustees; and
WHEREAS, in order to ensure development of a sustainable operational plan for Natividad
Medical Center, Salinas Valley Memorial Healthcare System has agreed to ontinue its support
through an extension of the Intergovernmental Transfer & Grant Agreement; nd

improvements at NMC by 2008; and
WHEREAS, Salinas Valley Memorial Healthcare System's support of NMC exemplifies
SVMHS's leadership role and community spirit in assuring medical services to benefit all
Monterey County residents.
NOW, THEREFORE BE IT RESOLVED, that the Board of Supervisors of the County of
Monterey on behalf of the County and all citizens thereof, hereby expresses its most sincere
appreciation to Salinas Valley Memorial Healthcare System, it's entire Board of Directors,
President/CEO, and executive management for their contributions to stabilize and support NMC
to ensure it's continued service to Monterey County as our community's critical public safety net
