a. Approve and authorize the Director of the Department of Social & Employment Services, or his designee, to sign Amendment #1 to Agreement #A-12280 with the Alisal Union School District for the provision of meal services to Monterey County seniors for the period July 1, 2012 to June 30, 2013, allowing for non-standard mutual indemnification; and
b. Authorize the Director of the Department of Social & Employment Services, or his designee, to sign up to three (3) amendments to this agreement, where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of the Department of Social & Employment Services, or his designee, to sign Amendment #1 to Agreement #A-12280 with the Alisal Union School District for the provision of meal services to Monterey County seniors for the period July 1, 2012 to June 30, 2013, allowing for non-standard mutual indemnification; and
b. Authorize the Director of the Department of Social & Employment Services, or his designee, to sign up to three (3) amendments to this agreement, where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
The amendment with Alisal Union School District (AUSD) allows for a mutual indemnification clause as requested by Contractor. The congregate meal services AUSD provides for Monterey County seniors are offered at three Salinas locations: the Firehouse Community Center, Los Abuelitos CHISPA Senior Housing and Sherwood Villages CHISPA Senior Housing. Services are designed to serve seniors 60 and over that have the greatest social and economic need as defined by the Older Americans Act.
The Department recommends that the Mutual Indemnification clause be approved in order to maintain a positive working relationship with the Contractor, and to continue uninterrupted meal services to the senior population. It is the Department's position that the need to continue these services outweighs any risk associated with a mutual indemnity provision, and is requesting that the non-standard language be approved.
OTHER AGENCY INVOLVEMENT:
County Counsel, the Auditor-Controller, and Purchasing have reviewed and approved this amendment, with the exception of the non-standard indemnity language.
FINANCING:
The agreement is funded 100% by Older American Act Funds. Sufficient appropriations and estimated revenues in SOC010 are included in the FY 2012-13 Adopted Budget. Approval of this action has no impact on the County General Fund.
