c. Authorizing the General Manager to execute the Agreements.

RECOMMENDATION:
It is recommended that the Board of Directors of the Monterey County Water Resources Agency:
a. Approve a Professional Services Agreement with Hollenbeck Consulting in the amount of $75,000 to provide engineering support services for the San Antonio Dam Spillway Replacement Project;
b. Approve a Professional Services Agreement with Hollenbeck Consulting in the amount of $250,000 to provide project management and engineering services for the Nacimiento Dam spillway, Nacimiento Dam spillway plunge pool, general services, and Interlake Tunnel Project; and
c. Authorize the General Manager to execute the Agreements.
SUMMARY/DISCUSSION:
In June of 2023, the Agency Board of Director’s approved a Professional Services Agreement with Hollenbeck Consulting in the amount of $354,250 to provide project management and engineering services for the San Antonio Dam spillway, Nacimiento hydroelectric plant, Nacimiento Dam Spillway, general services, and Interlake Tunnel Project. The scope of work was developed to help mitigate staff changes that were currently underway, and the contract (attachment 1) was assigned to the Deputy General Manger to oversee, until key engineering position were filled. Since then, two Senior Water Resources Engineers have been hired with each focusing on one of the dams and two additional grant agreements are in place to help support some of these projects. Both grant agreements are funded by the California Department of Water Resources (DWR). One secured approximately $6.1 million in State assistance from the Budget Act of 2022 (Stats. 2022, Ch. 249, § 207.) for Nacimiento Dam maintenance projects. DWR has disbursed the total amount approved to the Agency and requires annual progress reports. In May of 2024, the Agency secured approximately $16.15 million in funds under SB104 for use toward dam safety projects. This a reimbursable funding agreement and so Agency funds will be utilized to support the projects until the reimbursements are received.
The Agency plans to utilize Hollenbeck Consulting for project management and engineering support services for both funding agreements. In order to aid in the tracking of project and grant expenditures and increase administrative efficiencies, the Agency is proposing to separate the activities led by each of the Senior Water Resources Engineers, and have two new Professional Services Agreements (PSA). The first PSA’s scope of work is to provide engineering support services for the San Antonio Spillway Project (attachment 2) in the amount not to exceed $75,000. The second PSA (attachment 3) includes project management and engineering services support for Nacimiento spillway plunge pool, spillway work and general services. There are additional grant eligible projects that are still under development and can be included in the grant reimbursements and will likely fall under that “general services” task. This PSA also includes final closeout support of the Interlake Tunnel Project, if needed.
Once the new contracts are approved, the Agency will terminate the existing 2023 Hollenbeck consulting contract in accordance with Section 10, which states, “Either party may terminate this Agreement by giving written notice of termination to the other party at least thirty (30) days prior to the effective date of termination, which date shall be specified in any such notice. In the event of such termination, the amount payable hereunder shall be reduced in proportion to the services provided prior to the effective date of termination.”.

FINANCING:
The adopted FY2024-2025 Budget includes appropriations to cover the proposed work in Fund 116-Dam Operations and Maintenance and in Fund 426-Interlake Tunnel Project.
The Nacimiento Maintenance $6M grant eligible projects include portions of the Nacimiento Spillway Plunge Pool and the Nacimiento Spillway Projects. The ongoing Nacimiento Spillway maintenance work will be funded from Fund 116.
The SB104 grant eligible activities include The San Antonio Spillway Replacement Project and the Nacimiento Spillway Plunge Pool Project.
