Approve and authorize the Contracts and Purchasing Officer or their designee to execute an Acknowledgment and Consent, effective upon execution by the County of Monterey, to an Assignment and Assumption Agreement between Dr. Edward O’Hara, a Professional Corporation dba Workwell Medical Group (“Workwell”) and Agile Occupational Medicine, Professional Corporation (“Agile”) assigning County Agreement No. A-16207 from Workwell to Agile, for a time period of June 1, 2023 to January 31, 2026.

RECOMMENDATION:

It is recommended that the County of Monterey Board of Supervisors:

Approve and authorize the Contracts and Purchasing Officer or their designee to execute an Acknowledgment and Consent, effective upon execution by the County of Monterey, to an Assignment and Assumption Agreement between Dr. Edward O’Hara, a Professional Corporation dba Workwell Medical Group (“Workwell”) and Agile Occupational Medicine, Professional Corporation (“Agile”) assigning County Agreement No. A-16207 from Workwell to Agile, for a time period of June 1, 2023 to January 31, 2026.

 

SUMMARY/DISCUSSION:

The County of Monterey has determined that personnel working in the various County of Monterey Health Department Bureaus may be exposed to human blood, saliva, other body fluids, or tissue potentially contaminated with Hepatitis B or the rabies virus.  As such, personnel are at the risk for developing a wide variety of diseases.  Therefore, the County of Monterey has established that these employees are to receive a variety of vaccinations, medical, and other exams as needed.

 

The County and Dr. Edward O’Hara, a Professional Corporation, dba Workwell Medical Group (“Workwell”) entered into County Agreement No. A-16207, with a term of July 29, 2022, through January 31, 2026, and in the amount of $100,000, for the provision by Workwell of Cal-OSHA-required medical exams of County Health Department employees handling hazardous waste assignments.

 

During the initial quarter of 2023, Workwell was undergoing an acquisition by a new entity called Agile Occupational Medicine, Professional Corporation ("Agile"). In mid-June 2023, Agile officially confirmed this acquisition to the County of Monterey, Health Department. Workwell and Agile entered into an Assignment and Assumption Agreement, pursuant to which, effective June 1, 2023, Workwell agreed to assign Agreement No. A-16207 to Agile.

 

The Health Department recommends execution of the County’s Acknowledgment and Consent to the Assignment and Assumption Agreement to ensure medical services continue to be made available to all Health Department employees as needed.

 

While this work is not directly in support of a Health Department strategic goal, it is in support of one or more of the ten essential public health services, specifically: 6. Enforce laws and regulations that protect health and ensure safety.

 

OTHER AGENCY INVOLVEMENT:

The Office of the County Counsel and Auditor Controller have reviewed and approved this Agreement as to legal form, and fiscal provisions, respectively. 

FINANCING:
The revenue and appropriations for this Agreement are included in the Health Department’s FY 2023-24 Adopted Budget.  The associated revenue and appropriations for future years will be included in the respective FY’s Requested Budget.

This recommendation supports all of the Board of Supervisors Strategic Initiatives. It is for executive level consulting services, the outcome of which will contribute to a more efficient use of resources within the organization and also contribute to program expansion for strategic priorities.
