a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Professional and Call Coverage Services Agreement with Mitchell D. Cahn, M.D. to provide vascular surgery services at NMC for an amount not to exceed $600,000 for the period August 1, 2025 to June 30, 2027; and
b. Authorize the CEO for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work, do not exceed 10% ($60,000) of the original contract amount and do not increase the total amount above $660,000.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Professional and Call Coverage Services Agreement with Mitchell D. Cahn, M.D. to provide vascular surgery services at NMC for an amount not to exceed $600,000 for the period August 1, 2025 to June 30, 2027; and
b. Authorize the CEO for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work, do not exceed 10% ($60,000) of the original contract amount and do not increase the total amount above $660,000.
SUMMARY:
Natividad must arrange for the professional consultation and treatment for patients who present to the emergency department and outpatient clinics in need of medical care or treatment in vascular surgery. Natividad would like to enter into this agreement with Dr. Cahn, a board certified vascular and thoracic surgeon, to provide inpatient and outpatient services, procedures in the operating room, and participate in the vascular surgery call panel for the emergency department. The vascular services provided are part of the comprehensive trauma services required for the Level II Trauma Center and vital to the continued operations of Natividad. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee and Board of Trustees on June 13, 2025.
FINANCING:
The total not to exceed amount of this agreement is $600,000. The actual cost is contingent upon Dr. Cahn's participation in the call panel which may fluctuate based on availability. Natividad has agreements with multiple providers to ensure sufficient coverage of the vascular services where the total expenditure will not exceed $2,250,696 annually which is included in Fiscal Year 2025/2026 Recommended Budget. The remaining balance will be budgeted in subsequent fiscal years. Funding will be provided from NMC's Enterprise Fund 451-9600-6608.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
The services rendered in this agreement are required for a Level II Trauma Center and provide NMC with the additional support it needs in order to provide reliable and high-quality patient care which improves the health and quality of life for patients and their families.
