RECOMMENDATION:
 
It is recommended the Board of Supervisors:
 
a.      Authorize the Purchasing Manager for Natividad Medical Center (NMC) to execute an Agreement with MSDS Online for MSDS Database License and Annual Subscription Services at NMC in an amount not to exceed $9,243 for the period September 28, 2012 to September 27, 2015; and
b.      Accept non-standard language in the Agreement provided by the vendor as recommended by the NMC Chief Executive Officer; and
c.      Authorize the Auditor/Controller's Office to issue annual payments not to exceed the total aggregate amount as requested by the NMC Chief Executive Officer.
 
SUMMARY/DISCUSSION:
 
A Material Safety Data Sheet (MSDS) is required under the OSHA Hazard Communication Standard, and satisfaction of the requirement is monitored by local, state, and federal agencies, as well as the Joint Commission. The MSDS is a detailed informational document prepared by the manufacturer or importer of a hazardous chemical.  It describes the physical and chemical properties of the product.  MSDS's contain useful information such as flash point, toxicity, procedures for spills and leaks, and storage guidelines. Information included in a Material Safety Data Sheet aids in the selection of safe products, helps one understand the potential health and physical hazards of a chemical and describes how to respond effectively to exposure situations.
 
Natividad Medical Center is required to maintain MSDS's for several hundred materials.  MSDS Online provides an on-line database of MSDS's currently used at NMC, as well as a searchable database for several thousand other chemicals. This system provides easy access to MSDS's to all employees from any location in the hospital, and provides a platform for managing the addition or deletion of chemicals from inventory.
 
Commercial General and Automobile Liability Insurance requirements are waived for this vendor under this Agreement. All services are provided electronically and the vendor and/or its representatives do not travel onto County property with vehicles.
 
County Counsel has not approved the Agreement as to risk provisions. NMC requests that the Board of Supervisors authorize a modification of County's requirements for this Agreement.
 
OTHER AGENCY INVOLVEMENT:
 
County Counsel has reviewed and approved this Agreement as to legal form.  Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions.  The Agreement has also been reviewed and approved by Natividad Medical Center's Board of Trustees.
 
FINANCING:
 
The cost for this Agreement is $9,243. $3,201 is included in the Fiscal Year 2012/2013 Adopted Budget. Amounts for remaining years of the Agreement will be included in those budgets as appropriate. There is no impact to the General Fund.
