It is recommended the Board of Supervisors authorize the Purchasing Manager for Natividad Medical Center (NMC) to execute Renewal and Amendment No. 4 to the Agreement (A-11883) with HealthStream Inc. for Web Based Education Services at NMC, extending the Agreement to June 30, 2016 and adding $175,463.00 for a revised total Agreement amount not to exceed $583,236.06 in the aggregate.
SUMMARY/DISCUSSION:
HealthStream is a well-known online hospital education company that NMC has been working with for several years to provide required education to hospital staff to meet The Joint Commission and other state regulations and requirements. This amendment will allow NMC to continue with some of its existing services and add additional licenses to meet the needs of the hospital. This Amendment No. 4 was approved by the NMC Finance Committee and NMC Board of Trustees in June 2014; however, due to an oversight the Amendment was not submitted to the Board of Supervisors in July 2014 as originally intended.
Business Automobile Insurance Exemption
Business Automobile Liability Insurance requirements are waived for this vendor under this Agreement. There is no risk or exposure regarding vehicles. All services are provided electronically. The contractor does not travel onto County property with vehicles.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Renewal and Amendment No. 4 as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Renewal and Amendment No. 4 as to fiscal provisions. The Amendment has also been reviewed and approved by Natividad Medical Center's Finance Committee 6.26.14 and Board of Trustees 7.11.14.
FINANCING:
The cost for this Renewal and Amendment No. 1 is $175,463 of which $87,731.50 which is included in the Fiscal Year 2014-15 Adopted Budget. Amounts for remaining years of the Agreement will be included in those budgets as appropriate. There is no impact to the General Fund.
