Approve Amendment No. 2 to Professional Services Agreement No. A-14465, Multi-Year Agreement #3200*4619, with Vali Cooper & Associates, a TRC Company to continue to provide on-call construction management services for projects located in Monterey County, California, Request for Qualifications #10709, to extend the expiration date for one additional year through July 15, 2024, for a revised term from July 29, 2019 to July 15, 2024, and increase the not to exceed amount by $750,000 for a total amount not to exceed $3,000,000; and
b. Authorize the Contracts/Purchasing Officer or Contracts/Purchasing Supervisor to execute Amendment No. 2 to Professional Services Agreement No. A-14465 and future amendments to the Agreement where the amendments do not significantly alter the scope of work or increase the approved Agreement amount.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve Amendment No. 2 to Professional Services Agreement No. A-14465, Multi-Year Agreement #3200*4619, with Vali Cooper & Associates, a TRC Company to continue to provide on-call construction management services for projects located in Monterey County, California, Request for Qualifications #10709, to extend the expiration date for one additional year through July 15, 2024, for a revised term from July 29, 2019 to July 15, 2024, and increase the not to exceed amount by $750,000 for a total amount not to exceed $3,000,000; and
b. SUMMARY:
The Department of Public Works, Facilities and Parks (PWFP) has established several on-call Professional Services Agreements (PSAs) for specialized services when County staff requires special expertise or when the volume of work exceeds capacity to manage in a timely manner. On-call PSAs are utilized across PWFP and by other County Departments for specialized expertise in operations, management and specific facility and capital projects. Amendment No. 2 to the PSA with Vali Cooper & Associates, a TRC Company (Vali Cooper) (A-14465) would increase the not to exceed amount and extend the term of the PSA to provide future on-call construction management services. Construction management services in general, include the following: professional engineering services required for construction contracts in the public sector, which services include engineering inspection services, material testing and surveying services necessary to verify the project is constructed as specified in the project plans and specifications.
DISCUSSION:
Vali Cooper, along with three other consultants, Harris & Associates, Inc., MNS Engineers, Inc., and CONSOR North America, Inc. (formerly Quincy Engineering, Inc.) were selected for their expertise and capabilities necessary to provide construction management services for projects located in Monterey County, California under a competitive selection process in accordance with County policies and State and Federal laws under Request for Qualifications (RFQ) #10709.
PWFP has identified a need to increase the not to exceed amount of the PSA with Vali Cooper to continue to provide on-call construction management services to augment the need for services when the volume of work exceeds PWFP’s capacity, and to provide professional specialized construction management expertise that PWFP does not have. Amendment No. 2 (Attachment A) to the PSA between the County and Vali Cooper will increase the not to exceed amount of $2,250,000 by $750,000 for a total amount not to exceed $3,000,000 and further extend the expiration date from July 15, 2023 for one additional year through July 15, 2024, for a revised term from July 29, 2019 to July 15, 2024.
Attachments B through E, provided for reference, include PSA No. A-14465, Amendment No. 1 to PSA No. A-14465, a summary of the PSA, and a summary of the annual expenditures and balance of the PSA to date.
OTHER AGENCY INVOLVEMENT:
The Office of the County Counsel and the Auditor-Controller’s Office have reviewed and approved Amendment No. 2 as to form, and fiscal provisions, respectively.
FINANCING:
Costs associated with services provided by Vali Cooper and funding will be contained within the approved budget allocations for either a specific operating unit or contained within the Board of Supervisors approved project budget within Fund 002 Road Fund and Fund 404 Facilities Master Plan Projects.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
These on-call services will allow for the planning and development of sustainable, physical infrastructure that improves the quality of life for County residents and supports economic development results, and further provides for adequate County facilities and infrastructure.
