RECOMMENDATION:
 
It is recommended the Board of Supervisors Authorize the Purchasing Manager for Natividad Medical Center (NMC) to execute Amendment No. 1 to the Agreement (SC2491) with Thomson Reuters (Healthcare) Inc. for continuing CareDiscovery Quality Measures (CDQM) services through June 30, 2014, and the addition of Meaningful Use Quality Manager Services through June 30, 2013 at NMC, extending the Agreement and adding $147,106 for a revised total Agreement amount not to exceed $185,106 in the aggregate.
 
SUMMARY/DISCUSSION:
 
Thomson Reuters offers a number of products under their Care Discovery Solutions platform, one being Care Discovery Quality Measures.  The Care Discovery Quality Measures database and reporting system provides Natividad Medical Center with the tools to comply with the Joint Commission and Centers for Medicare and Medicaid Services (CMS) requirement for quarterly reporting of clinical quality measures also known as Core Measures.  NMC has been using this product for over five years.  This amendment will add the Meaningful Use Quality Manager product to the contract for Care Discovery Quality Measures.  NMC is pursuing meaningful use objectives linked to incentive payments for developing a complete Electronic Health Record (EHR) provided by CMS. One of the objectives for meaningful use is the reporting of clinical quality measures.  As per the current regulations, providers are responsible for submitting the clinical quality measure results to CMS through attestation using the CMS web site.  The Meaningful Use Quality Manager product will generate reports that will provide the information needed for reporting the clinical quality measures to CMS.  
 
This Amendment No. 1 provides for continued CDQM Services for an additional three years beyond the original agreement term dates, and adds MUQM Services through June 30, 2013.

This Amendment No. 1 includes:
 
·      A onetime implementation fee of $12,500 for the Meaningful Use Quality Manager (MUQM) Module.  
·      An additional three (3) years (with a slight annual increase each year) of the Care Discovery Quality Measures (CDQM) Services.
·       Two years of Meaningful Use Quality Manager Services.
 
For a total three year amount of $147,106.
 
Business Automobile Insurance Exemption
Business Automobile Liability Additional Insured Endorsement requirements are waived for this vendor under this Agreement. There is no risk or exposure regarding vehicles.
·      Contractor does not travel onto County property with vehicles.
 
OTHER AGENCY INVOLVEMENT:
 
County Counsel has reviewed and approved this Amendment as to legal form and risk provisions.  Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions.  The Amendment has also been reviewed and approved by Natividad Medical Center's Board of Trustees.
 
FINANCING:  
 
The cost for this Amendment is $147,106. $12,500 is included in the Fiscal Year 2011/2012 Approved Budget. $50,608 is included in the Fiscal Year 2012/13 Recommended Budget. Amounts for remaining years of the Agreement will be included in those budgets as appropriate. There is no impact to the General Fund.
