Approved and authorized the Director of Public Works to execute the Real

Property Purchase Agreement to Purchase Permanent Easement and Temporary

Construction Easement 0.2740 acres and 0.2824 acres, respectively) with Big Sur

Land Trust APN 16~-171-008), in the amount of $95,000 for Right-of-Way for

the construction of Schulte Road Bridge Project, Project No. 382065.

REAL PROPERTY PURCHASE AGREEMENT

This Real Property Purchase Agreement the Agreement") is entered into by and between:

The Big Sur Land Trust, a California nonprofit public benefit corporation, the Grantor") and

the County of Monterey, a Political Subdivision of the State of California the County"),

Collectively, the Grantor and County shall hereafter be referred to as the Parties.")

A. WHEREAS, Grantor owns certain unimproved real property located in unincorporated

Monterey County County"), State of California, containing approximately 12.02 acres

identified as APN 169-171-008 hereinafter the Grantor's Property"), and more particularly

described in Exhibit A attached hereto and incorporated by reference; and

B. WHEREAS, Grantor is a tax exempt, California nonprofit public benefit corporation

as defined in Section 501(c)(3) of the U.S. Internal Revenue Code, having among its principal

charitable purposes to conserve the significant lands and waters of California's Central Coast for

all generations; and

C. WHEREAS, County is in the process of implementing the Schulte Road Bridge

Improvement project including without limitation the acquisition of easements for the purpose of

constructing improvements to Schulte Road and temporary construction easements during the

term of the project; and

D. WHEREAS, Grantor desires to sell and County desires to purchase an Easement and a

Temporary Construction Easement over and upon Grantor's Property collectively Easement

Property"), subject to the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements

contained in this Agreement, and other good and valuable consideration, the receipt and

adequacy of which are hereby acknowledged, County and Grantor hereby agree as follows:

Grantor agrees to sell to County, and County agrees to purchase from Grantor the Easement

Property subject to the terms and conditions set forth in this Agreement.

The Easement Grant Deed including Exhibit A and Exhibit B has been executed and delivered to

the Escrow Holder Defined in Paragraph 8). The easement described in Exhibit A and shown

on Exhibit B attached hereto, and made a part hereof is hereafter referred to as the Property.

In consideration of which, and the other considerations hereinafter set forth, it is mutually agreed

as follows:

1. The parties have herein set forth the whole of their agreement and no obligations other than

those set forth herein, unless amended in writing, will be recognized. The performance of

this Agreement constitutes the entire consideration for the Easement Grant Deed delivered to

the County.

COMPLETED BOARD ORDER AND AGR��2. The full purchase price Purchase Price") is Ninety Five Thousand Dollars $95,000.00), all

cash, and is payable upon close of escrow.

3. To the best of Grantor's actual knowledge, Grantor warrants that there are no unrecorded

encumbrances, including, but not limited to, liens, oral or written leases exceeding a period

of one month, easements or licenses on all or any portion of the property. Grantor's actual

knowledge means the actual knowledge of William H. Leahy, II Executive Director of the

The Big Sur Land Trust. Grantor further agrees to hold the County harmless and defend and

reimburse the County for any and all of its losses and expenses, including reasonable

attorney fees, occasioned by Grantor's breach of this warranty. If the property is leased for a

period exceeding one month, Grantor will obtain a Quitclaim from all lessees or take all

necessary steps to evict the lessees occupying the property.

Grantor represents and warrants that William H. Leahy, II is the Executive Director of the

Grantor with primary responsibility for the matters which are the subject of representations

and warranties set forth in this agreement.

Each representation and warranty contained in paragraph 3 shall survive the closing date

pursuant to paragraph 4 below, and shall not merge with delivery to grantee of the deed; is

material and is being relied upon by the other party; and is true in all respects as of the

effective date of this agreement.

4. It is agreed and confirmed by and between the parties hereto that notwithstanding other

provisions in this Agreement, the right of possession and use of the property described in

Exhibit A and shown on Exhibit B by the County shall commence on the close of escrow

controlling this transaction and the amount shown in Paragraph 2 herein includes, but is not

limited to, full payment for such possession and use, from said date.

5. It is also understood and agreed by and between the parties hereto that County will at no

expense to Grantor and at the time of project construction perform the following, but not

limited to, work:

a. Provide vehicle access to Grantor to their property at all times during the

construction of the project.

b. Construct and conform private driveway serving Grantor's property to new

roadway to an alignment similar to what presently exists. The driveway shall be

at least 14 feet in width.

c. Relocate or reconstruct in kind, as necessary, all existing property fencing, mail

box and other such owner impacted property, if any, to new property line.

Construct new fence and access gate at the entrance to Grantor's property

pursuant to Exhibit E.

d. Remove non-native vegetation in the easements as described and shown in

Exhibit A, Exhibit B, Exhibit C and Exhibit D pursuant to the requirements of the

Mitigated Negative Declaration.

6. Grantor further conveys to County for the purpose of facilitating project construction a

Temporary Construction Easement" over and across portions of Grantor's Real Property.

Said Temporary Construction Easement TCE) is described in Exhibit C" and shown as a

plat drawing in Exhibit D" attached hereto and made a part hereof. Said Temporary

COMPLETED BOARD ORDER AND AGR��Construction Easement shall commence upon the date project construction starts and shall

expire upon satisfactory completion of said construction project, not to exceed 24 months in

duration from the start of construction. The amount payable as shown in Clause 2 above also

includes payment for this Temporary Construction Easement.

7. This transaction will be handled through an escrow account with Chicago Title, 50 Winham

Street, P.O. Box 931, Salinas, CA 93902. County shall pay any title insurance premiums,

escrow, cancellation, and recording fees and all other closing costs.

8. Grantor is selling the Easement Property to County As Is" in its current condition with all

faults and without representation or warranty. Grantor makes no representation or warranty

as to the suitability of the Easement Property for County's project or purposes.

9. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid

or unenforceable, the remainder of the Agreement shall continue in full force and effect and

shall in no way be impaired or invalidated, and the parties agree to substitute for the invalid

or unenforceable provision a valid and enforceable provision that most closely approximates

the intent and economic effect of the invalid or unenforceable provision.

10. Each party shall bear its own attorneys' fees and expenses in the preparation and review of

this Agreement. In the event of any action, proceeding or litigation relating to the subject

matter of this Agreement, the non-prevailing party shall reimburse the prevailing party for all

reasonable attorney fees and costs resulting therefrom.

11. This Agreement may be executed in counterparts, each of which shall be deemed an original,

but all of which, taken together, shall constitute one and the same instrument.

12. Each party has received independent legal advice from its attorneys with respect to the

advisability of executing this Agreement and the meaning of the provisions hereof. The

provisions of this Agreement shall be construed as to the fair meaning and not for or against

any party based upon any attribution of such party as the sole source of the language in

question.

record June 10, 1905 in Volume I of Surveys at Page 67, Records of Monterey County,

California, being more particularly described as follows:

BEGINNING at the northeast corner of U.S. Lot 4, Section 23, Township 16, South,

Range 1 East, Mount Diablo Base and Meridian also being on the southerly boundary of

Lot 9 of the James Meadows track as shown on said map Volume 1 of Surveys at Page

67, from which the southwest corner of said lot 9 bears N. 82� 42' 00" W., 1398.54 feet

RECOMMENDATION:

It is recommended that the Board of Supervisors:

Approve and authorize the Director of Public Works to execute the Real Property Purchase

Agreement to Purchase Permanent Easement and Temporary Construction Easement 0.2740

acres, and 0.2824 acres, respectively) with Big Sur Land Trust APN 169-171-008), in the

amount of $95,000 for Right-of-Way for the construction of Schulte Road Bridge Project,

Project No. 382065.

SUMMARY/DISCUSSION:

The purchase of the permanent easement and the temporary construction easement is required for

additional Right-of-Way for the Schulte Road Bridge Project, Project No. 382065. Construction

of Schulte Road Bridge will provide a two lane bridge for the residents on Schulte Road and will

significantly improve the operation and safety of the bridge.

Schulte Road Bridge County No. 501; State No. 44C-01 15) spans over the Carmel River in

Carmel Valley. The bridge is approximately 0.3 miles south of the Schulte Road and Carmel

Valley Road intersection which is four miles east of State Highway 1. The existing bridge was

constructed in 1947 and is a Landing Ship Deck bridge approximately 187 feet in length, 9 feet

wide with one lane for traffic. The proposed bridge will be a two-lane concrete box girder bridge

with two spans and a total length of 206 feet and a width of 31 feet. The road approaches will be

realigned to provide improved sight distance for traffic. The additional Right-of-Way that the

Real Property Purchase Agreement will provide will be necessary to widen the approach

roadway and to provide for improved roadway approach alignments required by the new bridge.

Approval of the Real Property Purchase Agreement to Purchase Permanent Easement and

Temporary Construction Easement 0.2740 acres, and 0.2824 acres, respectively) and recording

of the related deed will complete the purchase of the Right-of-Way for the project.

The value of the subject easement was determined by appraisal initiated by Monterey County

and performed by Hansen & Co., Inc. The Hansen & Co., Inc appraisal indicated that the just

compensation due as of the valuation date of June 13, 2009 was $51,300 for the property owned

by Big Sur Land Trust. Big Sur Land Trust requested a new owner initiated appraisal. It was

performed by Brigantino & Company. The Brigantino & Company appraisal indicated that the

just compensation as of the valuation date of January 18, 2010 was $115,155 for the property.

The Right-of-Way acquisition negotiations were conducted by Bob Tarvin & Associates. After

Right-of-Way negotiations, the real property purchase agreements were signed by the property

owner for $95,000 for the property. Purchase of all Right-of-Way transactions from adjacent

landowners is complete. The Right-of-Way Certification will be submitted to Caltrans for the

project after the purchase of the Big Sur Land Trust property.

On July 23, 2002, the Board of Supervisors approved a Public Works project to replace the

Schulte Road Bridge Project No. 382065). As part of this approval, an Environmental Impact

Report EIR) was prepared and certified and appropriate findings were made. The recommended

actions help to implement this project.

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved the Real Property Purchase Agreement to Purchase

Permanent Easement and Temporary Construction Easement and related deeds as to form and

legality. The Right-of-Way of the project will be funded by the Federal Highway Administration

and State Seismic Funds; and conducted by Monterey County Department of Public Works with

oversight by the Caltrans Office of Local Assistance.

FINANCING:

There is no financial impact to the General Fund. The project will be funded by the Federal

Highway Administration, State Seismic Funds and Road Fund. Complete funding has been

authorized for design, environmental, right-of-way and construction costs. The total estimated

cost of the project is $6,283,552. The total cost for right of way engineering and the purchase of

easements is $520,017. The Right-of-Way purchase for this property is $95,000.
