RECOMMENDATION:
It is recommended the Board of Supervisors authorize the Purchasing Manager for Natividad Medical Center (NMC) to execute Amendment No. 3 to the Agreement (A-12261/MYA166) with Karl Storz Endoscopy-America for Equipment Repair and Maintenance Services at NMC, extending the Agreement to June 30, 2015 and adding $235,670 (over two years) for a revised total Agreement amount not to exceed $394,077.50 in the aggregate.
SUMMARY/DISCUSSION
This agreement is for the repair and maintenance of Natividad Medical Center Operating Rooms laparoscopic instruments and equipment. The laparoscopic equipment in the Natividad Medical Center Operating Room is manufactured by Storz. This service agreement provides guarantee of unlimited repair/replacement of the listed items for the specified sum and time period. Additionally, the contract provides for immediate loan of replacement equipment while repairs are conducted preventing rescheduling or cancellations of procedures. This service cannot be contracted to a third party provider as Storz is the sole proprietor of the parts for these items.
Business Automobile Insurance Exemption
Business Automobile Liability Additional Insured Endorsement requirements are waived for this vendor under this Agreement. There is no risk or exposure regarding vehicles.
Vendor has no vendor-owned fleet of vehicles.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Amendment No. 3 as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Amendment No. 3 as to fiscal provisions. The Amendment No. 3 has also been reviewed and approved by Natividad Medical Center’s Board of Trustees.
FINANCING:
The cost for this Amendment No. 3 is $235,670 over two years. $120,000 is included in the Fiscal Year 2013/2014 Adopted Budget. Amounts for remaining years of the Agreement will be included in those budgets as appropriate. There is no impact to the General Fund.
