RECOMMENDATION:

It is recommended that the Monterey County Water Resources Agency Finance Committee:

 

Consider recommending:

a.                     That the Board of Directors approve Amendment No. 1 to the Professional Services Agreement with McMillen Inc. to increase the dollar amount by $27,260 for a total contract amount not to exceed $461,760 for work related to the San Antonio Spillway Replacement Project; and

b.                     That the Board of Directors approve a Professional Services Agreement with McMillen Inc. in the amount of $1,445,000 to provide engineering design services for the San Antonio Spillway Replacement Project; and

c.                     That the Board of Directors authorize the General Manager to execute the agreements.

 

SUMMARY/DISCUSSION:

In September of 2023, the Agency Board of Director’s approved a Professional Services Agreement with McMillen Inc. in the amount of $434,500 to provide engineering design services for the San Antonio Dam Spillway Replacement Project’s Probable Maximum Flood (PMF) Update and the Alternatives Analysis Report.  These authorized phases of the project were funded by Fund 116, with future funding (final engineering design) to be determined.  In May of 2024, the Agency secured approximately $16.15 million in funds under SB104 for use toward dam safety projects.  An estimated three (3) million dollars has been allocated toward the final design of the San Antonio Spillway Replacement Project.  This a reimbursable funding agreement and so Agency funds will be utilized to support the project until the reimbursements are received.  

 

During review of the Draft Alternatives Analysis Report, the Agency requested McMillen Inc. to provide additional services to develop an 11th design alternative.  The cost for this additional work, Amendment No. 1 amounted to $27,260 for a new total contract not to exceed amount of $461,760.

 

Lastly, in order to aid in the tracking of project and grant expenditures and increase administrative efficiencies, the Agency is proposing to begin a new agreement with McMillen utilizing the updated Agency PSA terms for the remaining engineering design.   The PSA’s scope of work is to provide the remaining engineering design service tasks for the San Antonio Spillway Replacement Project in the amount not to exceed of $1,445,000.

 

Once the new contract is approved, the Agency will terminate the existing 2023 McMillen Inc. consulting contract in accordance with Section 10, which states, “Either party may terminate this Agreement by giving written notice of termination to the other party at least thirty (30) days prior to the effective date of termination, which date shall be specified in any such notice. In the event of such termination, the amount payable hereunder shall be reduced in proportion to the services provided prior to the effective date of termination.”.
