Report
RECOMMENDATION:
It is recommended that the Board of Supervisors:
Approve and authorize the County Purchasing Agent or designee to execute an Acknowledgment and Consent, effective upon execution by the County of Monterey, to an Assignment and Assumption Agreement between Johnson Controls Inc. (“JCI”) and Tyco Technology GMBH dba Johnson Controls Building Solutions, Inc. (“JCBS”) assigning County Agreement No. A-15497 from JCI to JCBS.
SUMMARY:
Johnson Controls, Inc. (JCI) provides repair and maintenance services for the HVAC electronic maintenance system functions at the Health Department Administration Building.
Johnson Control’s propriety Metasys building automation system monitors and controls the building HVAC mechanical and electronic system functions critical for proper ventilation, heat and air conditioning systems, serving staff areas as well as the laboratory system on the ground floor.
As of January 5, 2026, JCI has been acquired by JCBS. To ensure continuity of services under existing and future Agreements, Health is requesting approval to execute an Acknowledgement and Consent to an Assignment and Assumption Agreement between JCI and JCBS.
DISCUSSION:
The acquisition of JCI by JCBS necessitates the formal assignment of existing Agreements to the new entity. The proposed Acknowledgement and Consent to an Assignment and Assumption Agreement will allow JCBS to assume all rights, responsibilities, and obligations previously held by JCI under the current Agreements.
Approval of this action will ensure there is no disruption in services or payments and will allow Health to continue receiving the specialized repair and maintenance services for the HVAC electronic maintenance system functions at the Health Department Administration Building.
There are no changes to the scope of work, service delivery, or funding associated with this action. This request is administrative in nature and is intended solely to recognize the corporate transition and maintain contractual continuity.
While this work is not directly in support of a Health Department strategic initiative, it is in support of one or more of the ten essential public health services, specifically: 6. Enforce laws and regulations that protect health and ensure safety.
OTHER AGENCY INVOLVEMENT:
The Office of the County Counsel and Auditor Controller have reviewed and approved this Agreement as to legal form, and fiscal provisions, respectively.
FINANCING:
There will be no additional impact to the General Fund resulting from approval of this action. Sufficient appropriations for the existing Agreement are included in the Health Department’s FY 2026-27 Adopted Budget for the Administration Bureau (1001-HEA100-400001). Approval of the Assignment and Assumption Agreement does not change the scope, funding, or financial terms of the existing Agreement.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
This recommendation supports Strategic Plan Goal 5 - Dynamic Organization and Employer of Choice by ensuring uninterrupted facility operations through the continued maintenance of the Health Department Administration Building's HVAC building automation system following a corporate transition. The administrative assignment of the agreement maintains operational continuity and supports efficient County business practices without impacting the scope of services or funding.
