a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Professional Services Agreement with CEP America-California, a California general partnership to provide emergency medicine services at NMC in an amount not to exceed $3,012,656 for the period July 1, 2016 to June 30, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% ($301,266) of the original contract amount and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Professional Services Agreement with CEP America-California, a California general partnership to provide emergency medicine services at NMC in an amount not to exceed $3,012,656 for the period July 1, 2016 to June 30, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% ($301,266) of the original contract amount and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
NMC’s Emergency Department (ED) receives over 52,000 patient visits annually. NMC must arrange for the professional consultation and treatment for patients who present to the ED in need of medical care 24 hours per day, 7 days a week. Through its current agreement with NMC, CEP America-California (CEP) offers a team of medical providers including emergency medicine physicians, physician assistants and nurse practitioners to provide exclusive medical director and comprehensive provider services coverage in the ED.
NMC has would like to enter into this new Agreement with the existing provider, CEP (formerly California Emergency Physicians), to ensure sufficient staffing without interruption of services and to make certain confirming changes to the form agreement. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee on April 28, 2016 and Board of Trustees on May 6, 2016.
FINANCING:
The total not to exceed amount for this Agreement is $3,012,656 for the period July 1, 2016 to June 30, 2018. $1,506,328 is included in the Fiscal Year 2016/2017 Adopted Budget and the remaining $1,506,328 will be budged in Fiscal Year 2017/2018. There is no impact to the General Fund.
