RECOMMENDATION:

a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or a designee to execute the Fifth Amendment to the Professional Services Agreement (A-15734) with Lena Nerjis Malik M.D. to provide pediatric hospitalist services, extending the term by twenty-four months (April 1, 2026 to March 31, 2028) for a revised full agreement term of July 1, 2017 to March 31, 2028, but with no change to the Board approved not to exceed amount of $300,000; and

b. SUMMARY:

Natividad Medical Center (NMC) must arrange for the care and treatment of pediatric patients (age 0-21) who are admitted to the hospital or present to the emergency department in need of medical care.  In order to provide 24/7 patient care, it requires a team of pediatricians, known as pediatric hospitalists, who primarily work in the hospital areas including the pediatric unit, labor and delivery unit, the neonatal intensive care unit and the emergency department. 

 

DISCUSSION:

Natividad Medical Center (NMC) has an agreement with Dr. Malik to provide pediatric hospitalist services from time to time and during periods when employed/contracted physicians are not available (e.g., vacation; illness; continuing medical education; etc.).  Natividad Medical Center (NMC) would like to amend the agreement to and extend the term so that Dr. Malik can continue to provide the same services without interruption. Natividad Medical Center(NMC) has obtained an independent opinion of fair market value supporting the payment terms of this agreement.

 

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved this amendment as to legal form.  Auditor-Controller has reviewed and approved this amendment as to fiscal provisions.  The amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee and Board of Trustees.

 

FINANCING:

There is no cost to this Amendment.  The total cost of this Agreement is $300,000 for the period July 1, 2017 to March 31, 2028. The actual cost is contingent upon Dr. Malik’s participation in the call panel, which may fluctuate based on availability.  Natividad has agreements with multiple providers to ensure sufficient coverage of the services. $50,000 is included in Fiscal Year 2025/2026 Adopted Budget. Funding will be provided from NMC's Enterprise Fund 451-9600-6608.
