a. Approve and authorize the Director of Health Services or designee to sign a non-standard Subscription Services Agreement with UpToDate, Inc. (“UpToDate”) for UpToDate Anywhere Electronic Clinic Resources Subscription services, for a term from November 1, 2024 to October 31, 2027 and a total contract amount not to exceed $69,844; and
b. Approve the recommendation of the Director of Health Services to accept the non-standard terms in the Agreement; and
c. Authorize the Director of Health Services or designee to execute up to three (3) future amendments that do not significantly change the scope of services and where each Amendment does not exceed $30,000, for a revised total contract amount not to exceed $159,844.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of Health Services or designee to sign a non-standard Subscription Services Agreement with UpToDate, Inc. (“UpToDate”) for UpToDate Anywhere Electronic Clinic Resources Subscription services, for a term from November 1, 2024 to October 31, 2027 and a total contract amount not to exceed $69,844; and
b. Approve the recommendation of the Director of Health Services to accept the non-standard terms in the Agreement; and

SUMMARY DISCUSSION:
The Health Department Clinic Services Bureau (Clinic Services) operates twelve community clinic sites designated as Federally Qualified Health Centers (FQHCs) which provide preventive, primary, and specialty medical care services.
UpToDate, Inc. (“UpToDate”) is the leading web-based clinical research tool utilized in clinics to obtain answers to clinical questions, including the latest evidence, and provides for specific, practical recommendations for diagnosis and treatment. Included in the subscription, at no additional cost, is the functionality of UpToDate Anywhere, which allows physician and mid-level remote access to UpToDate from any internet-enabled device. UpToDate is accredited and recognized as a continuing education resource by most colleges, associations and authorities.
Clinic Services currently has an agreement with UpToDate that will expire October 31, 2024. UpToDate has provided the appropriate coverage limits for Commercial General Liability, Professional and the statutory limits for Workers Compensation, however, cannot provide the additional insured and primary, non-contributory endorsements or automobile coverage. Clinic Services is requesting approval of the risk modifications, including waiver of automobile insurance since the subscription services are entirely web-based and do not involve any travel or on-site training. Approval of recommendation will provide Clinic Services physicians and advanced practice providers un-interrupted access to this valuable resource tool by conveniently providing current medical information and resources at the point of patient care.
This work supports the County of Monterey Health Department 2018-2024 Strategic Plan Goal(s): 1) Enhance community health and safety through prevention. It also supports the following of the ten essential public health services, specifically: 3) Inform, educate and empower people about health issues; and 10) research for new insights and innovative solutions to health problems.
OTHER AGENCY INVOLVEMENT:
County Counsel has approved as to form. The Auditor-Controller and Contracts/Purchasing have reviewed and concur with the recommendation.
FINANCING:
Sufficient appropriations are available in FY 2024-25 Adopted Budget of Clinic Services Bureau, Health Department (4000-HEA007). The Agreement is funded by revenue generated from Medi-Cal and Medicare payments. There is no financial impact to the General Fund resulting from approval of this Agreement.
