a. Approve and authorize the Director of Health Services or designee to sign a non-standard Software-As-A-Service (SaaS) Agreement with PDDS Buyer, LLC (“PDDS”) for the licensing subscription to the Apteryx dental imaging software, for an initial term of one year, which will then auto-renew for successive one (1) year renewal terms, unless earlier terminated, and a total contract amount for the initial one-year term not to exceed $6,330;
b. Approve the recommendation of the Director of Health Services to accept the non-standard terms of the Agreement; and
c. Approve and authorize the Contracts and Purchasing Officer or their designee to execute future amendments, provided they do not exceed an aggregate amount of $200,000 and fall within the signing authority of the Contracts and Purchasing Officer.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of Health Services or designee to sign a non-standard Software-As-A-Service (SaaS) Agreement with PDDS Buyer, LLC. (“PDDS”) for the licensing subscription to the Apteryx dental imaging software, for an initial term of one year, which will then auto-renew for successive one (1) year renewal terms, unless earlier terminated, and a total contract amount for the initial one-year term not to exceed $6,330;

SUMMARY DISCUSSION:
The Health Department Clinic Services Bureau (Clinic Services) operates twelve community clinic sites, including a Mobile Unit, designated as Federally Qualified Health Centers (FQHCs) which provide preventive, primary, and specialty medical care services. Clinic Services’ Mobile Unit is suitable for both primary care and dental services.
PDDS Buyer, LLC. (“PDDS”) is a leading dental services solutions provider whose products include Apteryx, the cloud-based, device agnostic 3-D dental imaging software that is compatible with the Clinic Services’ OCHIN Epic electronic medical record and practice management software system.
The Apteryx 3-D dental imaging software will be installed on the hand-held imaging device to be used in the Mobile Unit and integrated with Clinic Services’ OCHIN Epic medical record system.
PDDS has provided the appropriate coverage limits for Commercial General Liability, Cyber Liability, Waiver of Subrogation, and the statutory limits for Workers Compensation, however, cannot provide the additional insured and primary, non-contributory endorsements. Clinic Services is requesting approval of the risk modifications, including waiver of automobile insurance since the subscription services are entirely cloud-based and will not require any travel or on-site training.
Approval of recommendation will enhance the accuracy and efficiency of dental diagnostics for care delivery and improve dental health outcomes for Clinic Services patients.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved as to form. The Auditor-Controller’s Office reviewed the contract and does not agree with the non-standard payment provisions. Risk has reviewed as to risk provisions.
FINANCING:
Sufficient appropriations are available in FY 2025-26 Adopted Budget of Clinic Services Bureau, Health Department (4000-HEA007). The Agreement is funded by revenue generated from Medi-Cal and Medicare payments. There is no financial impact to the General Fund resulting from approval of this Agreement.
BOARD OF SUPERVISORS STRATEGIC PLAN GOALS:
