a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Professional and Call Coverage Services Agreement with Juan Calzetta M.D. to provide vascular surgery services at NMC in an amount not to exceed $700,000 for the period July 1, 2016 to June 30, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% ($70,000) of the original contract amount and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Professional and Call Coverage Services Agreement with Juan Calzetta M.D. to provide vascular surgery services at NMC in an amount not to exceed $700,000 for the period July 1, 2016 to June 30, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% ($70,000) of the original contract amount and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
NMC must arrange for the professional consultation and treatment for patients who present to the emergency department in need of medical care or treatment in vascular surgery, medical consultation of inpatients and follow-up in the clinic. Dr. Calzetta is a board certified vascular surgeon who provides emergency call coverage and a minimum of two half day clinics per week in the outpatient specialty clinic.
NMC has an agreement with Dr. Calzetta to provide these services, which has been amended over the years to extend the term. NMC would like to enter into this new Agreement with this existing provider to make certain conforming updates to the Agreement and in order to continue the same critical services without interruption. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee on April 28, 2016 and Board of Trustees on May 6, 2016.
FINANCING:
The total not to exceed amount for this Agreement is $700,000 for the period July 1, 2016 to June 30, 2018. $350,000 is included in the Fiscal Year 2016/2017 Recommended Budget and the remaining $350,000 will be budged in Fiscal Year 2017/2018. There is no impact to the General Fund.
