a. Approve and authorize the Director of the Department of Social Services to sign an agreement in tandem with Alisal Unified School District for $85,000 to provide congregate meals to seniors in Salinas, retroactively to July 1, 2020 through June 30, 2021 including nonstandard indemnification provision; and
b. Authorize the Director of the Department of Social Services to sign up to three (3) amendments to the agreement where the total amendments do not exceed 10% ($8,500) of the original contract amount and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of the Department of Social Services to sign an agreement in tandem with Alisal Unified School District for $85,000 to provide congregate meals to seniors in Salinas, retroactively to July 1, 2020 through June 30, 2021 including nonstandard indemnification provision; and
b. Authorize the Director of the Department of Social Services to sign up to three (3) amendments to the agreement where the total amendments do not exceed 10% ($8,500) of the original contract amount and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
This Agreement provides congregate (group dining) in multiple sites to seniors living in the Salinas area. Meals at group dining locations are currently offered in accordance with safety protocols during the COVID-19 pandemic and practices may change as needed throughout the fiscal year. This contract was originally awarded through an RFP process in April 2017 and recommended by the Area Agency on Aging Advisory Council.
This agreement was delayed in being brought for Board consideration prior to the effective date due to complex negotiations between County and Contractor.
The Department is recommending approval of this Agreement with nonstandard provisions with mutual indemnification to allow DSS to continue working with Alisal USD to continue providing congregate meals.
OTHER AGENCY INVOLVEMENT:
The Auditor-Controller and Purchasing have reviewed and approved this agreement. Risk Management cannot approve the nonstandard mutual indemnification language contained in this agreement. County Counsel has approved the agreement as to form.
FINANCING:
Funding is provided by the Older Americans Act. Sufficient appropriations and estimated revenues in SOC010 are included in the FY 2020-21 Adopted Budget.

This Agreement correlates to the Health & Human Services Strategic Initiative adopted by the Board of Supervisors by working towards the goals of improving health and quality of life outcomes by providing nutrition services to seniors in Monterey County
