a. Authorize the Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute a nonstandard agreement with UpToDate, Inc. for UpToDate Anywhere clinical decision support platform subscription services at NMC, for a maximum County obligation of $505,745 for the term of July 1, 2026 through June 30, 2029.
b. Authorize the Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute up to three future amendments that do not exceed 10% ($50,575) of the original agreement, do not significantly alter the scope of services, and do not exceed the amount of $556,320.
c. Approve the Natividad Medical Center’s Chief Executive Officer’s recommendation to accept non-standard indemnification, insurance, limitations on liability, and limitations on damages provisions within the agreement.

RECOMMENDATION:
It is recommended the Board of Supervisors:

SUMMARY:
Wolters Kluwer Health’s UpToDate, Inc. is a leading web-based clinical research tool used by clinicians for evidence-based review of medical topics. As a teaching hospital, Natividad Medical Center (NMC) relies on online clinical resources to support medical students, residents, and attending physicians. UpToDate, Inc., is accessible through embedded internet links within NMC’s Electronic Medical Record (EMR) system, MEDITECH. UpToDate, Inc. operates as a standalone resource, and no data is exchanged between the application and any NMC systems.
DISCUSSION:
Natividad Medical Center (NMC) physicians, residents and medical students currently use UpToDate, Inc.’s online research and educational content to support clinical decision-making. In addition to providing access to evidence-based medical information, UpToDate, Inc. allows physicians to earn required Continuing Medical Education (CME) credits each time the system is accessed. These CME credits support compliance with NMC’s requirements, as well as state and national medical specialty board standards.
With integrated access through MEDITECH, clinicians can easily access the UpToDate, Inc. icon to review the most current evidence-based recommendations.
OTHER AGENCY INVOLVEMENT:
The Office of County Counsel has reviewed and approved this agreement as to form, and the Auditor-Controller has reviewed and approved as to payment provisions. The agreement has also been reviewed and approved by NMC’s Finance Committee and by its Board of Trustees on June 5, 2026.
FINANCING:
The cost for this agreement is $505,745, of which $146,978 is included in the FY 2026-27 Recommended Budget. Amounts for remaining years of the agreement will be included in those budgets as appropriate. There is no impact on the General Fund with this action.

UpToDate provides various opportunities for aiding NMC in maintaining a highly trained workforce.
