a. Ratify the execution by the Chief Executive Officer for Natividad Medical Center of the Professional Services Agreement with The Regents of the University of California on behalf of the University of California, San Francisco, School of Medicine, Department of Pediatrics (UCSF) to provide neonatology services at NMC the April 1, 2021 to March 31, 2023 for an amount not to exceed $700,000 in the aggregate; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work and do not cause an increase of more than ten percent 10% ($70,000) of the original contract amount.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Ratify the execution by the Chief Executive Officer for Natividad Medical Center of the Professional Services Agreement with The Regents of the University of California on behalf of the University of California, San Francisco, School of Medicine, Department of Pediatrics (UCSF) to provide neonatology services at NMC the April 1, 2021 to March 31, 2023 for an amount not to exceed $700,000 in the aggregate; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work and do not cause an increase of more than ten percent 10% ($70,000) of the original contract amount.
SUMMARY/DISCUSSION:
Natividad’s Neonatal Intensive Care Unit (NICU) provides stabilization of the initially ill newborn and intermediate intensive care as well as continuing care for growing newborns. Natividad wishes to enter into an agreement with UCSF School of Medicine Department of Pediatrics to provide two highly trained neonatologist physicians for 24/7 coverage of infants admitted to the NICU as well as oversight and medical direction of the unit. Natividad has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
Ratification of the executed agreement will ensure that the group can continue to provide these neonatology services without interruption. Natividad has obtained an independent opinion of fair market value supporting the payment terms of this agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this amendment as to legal form. Auditor-Controller has reviewed and approved this amendment as to fiscal provisions. Amendment was not placed on Natividad’s Finance Committee or Board of Trustees agendas in order to ensure compliance with conflict of interest laws.
FINANCING:
The total not to exceed amount of this Agreement is $700,000 for the period April 1, 2021 to March 31, 2023. $350,000 is included in the Fiscal Year 2020/2021 Adopted Budget. The remaining amount will be budged in subsequent fiscal years. There is no impact to the General Fund.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
Partnering with UCSF enhances the breadth of services provided at Natividad for children in Monterey and neighboring counties, thus allowing more children to remain closer to home for their acute pediatric care rather than being transferred to distant Northern California Bay Area hospitals.
