Title: a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Fourth Amendment to the Professional Services Agreement (A-14492) with The Regents of the University of California, a public corporation, on behalf of the University of California, San Francisco, School of Medicine, Department of Pediatrics (UCSF) to provide pediatric cardiology services extending the term by twelve months (January 1, 2024 to December 31, 2024) for a revised full agreement term of January 1, 2018 to December 31, 2024, but with no change to the aggregate not to exceed amount of $500,000; and b. Authorize the CEO for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work, do not cause an increase of more than ten percent 10% ($10,000) of the original contract amount and do not increase the total contract amount above $510,000.

RECOMMENDATION:

It is recommended that the Board of Supervisors:

a.                     Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or his designee to execute the Fourth Amendment to the Professional Services Agreement (A-14492) with The Regents of the University of California, a public corporation, on behalf of the University of California, San Francisco, School of Medicine, Department of Pediatrics (UCSF) to provide pediatric cardiology services extending the term by twelve months (January 1, 2024 to December 31, 2024) for a revised full agreement term of January 1, 2018 to December 31, 2024, but with no change to the aggregate not to exceed amount of $500,000; and

b.                     Authorize the CEO for NMC or his designee to sign up to three (3) future amendments to this Agreement where the total amendments do not significantly change the scope of work, do not cause an increase of more than ten percent 10% ($10,000) of the original contract amount and do not increase the total contract amount above $510,000.

 

SUMMARY/DISCUSSION:

Natividad operates the D’Arrigo Family Specialty Services Outpatient Clinic offering over 15 different specialty care services including pediatric cardiology.  NMC has an agreement with UCSF, for which J. Emilio Quezada Liuti, M.D., a board-certified pediatric cardiologist, provides outpatient specialty care at least one day per week, thus allowing Monterey County children and their families to remain closer to home for specialized pediatric care.  UCSF is paid a daily rate for services which may increase or decrease due to patient volumes.  NMC would like to amend its agreement with UCSF so that Dr. Quezada can continue to provide the same services.  NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.

 

OTHER AGENCY INVOLVEMENT:

County Counsel has reviewed and approved this Amendment as to legal form.  Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions.  The amendment has also been reviewed and approved by Natividad Medical Center’s Finance Committee and Board of Trustees.

 

FINANCING:

The is no cost for this amendment.  The total not to exceed amount of the Agreement is $500,000 for the period January 1, 2018 to December 31, 2024.   $50,000 is included in the Fiscal Year 2023/2024 Adopted Budget.  There is no impact to the General Fund.

The services rendered in this agreement provide NMC with the additional support it needs in order to provide reliable and high-quality patient care which improves the health and quality of life for patients and their families.
