RECOMMENDATION:
It is recommended that the County of Monterey Board of Supervisors:
Approve and authorize the Contracts and Procurement Officer or designee to execute an Acknowledgment and Consent, effective upon execution by the County of Monterey, to an Assignment and Assumption Agreement between Raimi + Associates, Inc. (“Raimi”) and Alta Planning + Design, Inc. (“Alta”) assigning from Raimi to Alta the rights and obligations of County Agreement No. A-16238, for the provision of strategic planning processing to include data gathering, graphic design services, and focus group facilitation.
SUMMARY:
For more than ten years, Raimi has provided the County of Monterey Health Department (“Health”) with specialized project management and research services related to health equity, as well as graphic design and facilitation services in support of departmental initiatives. These services have supported Health’s strategic priorities and community-based efforts.
As of February 2026, Raimi has been acquired by Alta. To ensure continuity of services under existing and future Agreements, Health is requesting approval to execute an Acknowledgement and Consent to an Assignment and Assumption Agreement between Raimi and Alta.
DISCUSSION:
The acquisition of Raimi by Alta necessitates the formal assignment of existing Agreements to the new entity. The proposed Acknowledgement and Consent to an Assignment and Assumption Agreement will allow Alta to assume all rights, responsibilities, and obligations previously held by Raimi under the current Agreements.
Approval of this action will ensure there is no disruption in services or payments, and will allow Health to continue receiving the specialized project management, research, graphic design, and facilitation services that support ongoing health equity initiatives and departmental operations.
There are no changes to the scope of work, service delivery, or funding associated with this action. This request is administrative in nature and is intended solely to recognize the corporate transition and maintain contractual continuity.
OTHER AGENCY INVOLVEMENT:
The Office of the County Counsel and Auditor Controller have reviewed and approved this Agreement as to legal form, and fiscal provisions, respectively.
FINANCING:
Appropriations for this Agreement are included in the Health Department’s (4000-HEA014-8438) Fiscal Year (FY) 2025-26 Adopted Budget.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
This recommendation supports the Board of Supervisors’ Well-Being and Quality of Life Strategic Plan Goal by ensuring continuity of specialized project management, research, and facilitation services that advance health equity initiatives and improve community health outcomes. By maintaining uninterrupted services through the assignment and assumption agreement, the County continues progress toward Key Objectives focused on advancing equitable access to services and improving overall community well-being.
