a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or a designee to execute amendment No. 3 to the agreement (A-16977) with CortiCare, Inc. for remote monitoring of electroencephalograms (EEG) services at Natividad Medical Center’s cardiopulmonary and neuro-diagnostic department; extending the Agreement an additional 12 month period (April 20, 2026 through April 19, 2027) for a revised full Agreement term of April 20, 2022 through April 19, 2027, and adding $250,000 for a revised total aggregate Agreement amount not to exceed $700,000.
b. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or a designee to execute up to (3) future amendments which do not significantly alter the scope of work and each of which does not exceed 10% ($10,000) of the original cost of the Agreement, for a revised total agreement amount not to exceed $710,000.

RECOMMENDATION:
It is recommended the Board of Supervisors:
a. Authorize the Chief Executive Officer (CEO) for Natividad Medical Center (NMC) or a designee to execute amendment No. 3 to the agreement (A-16977) with CortiCare, Inc. for remote monitoring of electroencephalograms (EEG) services at Natividad Medical Center’s cardiopulmonary and neuro-diagnostic department; extending the Agreement an additional 12 month period (April 20, 2026 through April 19, 2027) for a revised full Agreement term of April 20, 2022 through April 19, 2027, and adding $250,000 for a revised total aggregate Agreement amount not to exceed $700,000.

SUMMARY:
Natividad Medical Center must arrange for the care and treatment of hospitalized patients and patients who present to the emergency department in need of neurological evaluation. CortiCare Inc. provides remote electroencephalogram (EEG) monitoring and interpretation services to support Natividad Medical Center physicians in diagnosing and managing neurological conditions. Natividad Medical Center’s EEG technologists initiate the studies, and CortiCare Inc. offers secure, real-time access to EEG data and video monitoring for clinicians. Interpretation services are provided in accordance with clinical standards and compliance requirements for timely review of EEG studies, including urgent cases.
DISCUSSION
Natividad Medical Center seeks to amend the agreement to ensure CortiCare Inc. can continue providing remote EEG monitoring and interpretation services without interruption. CortiCare Inc. is compensated at a contracted rate for services rendered under this agreement, and while service volumes may fluctuate based on clinical demand, the contracted rate remains unchanged. Natividad Medical Center has obtained an independent fair market value opinion supporting the payment terms of the agreement. To meet the increased demand for EEG services and maintain compliance with standards of care, Natividad Medical Center is requesting an amendment to add $250,000 in funding through April 2027.
OTHER AGENCY INVOLVEMENT:
The Office of County Counsel has reviewed and approved this amendment No. 3 as to legal form, and the Auditor-Controller has reviewed and approved as to payment provisions. The amendment No. 3 has also been reviewed and approved by Natividad Medical Center’s Finance Committee and by its Board of Trustees on March, 6, 2026.
FINANCING:
The cost of this Amendment is $250,000. The total cost of this Agreement is $700,000 for the period April 20, 2022 to April 19, 2027. Funding will be provided from Natividad Medical Center's Enterprise Fund 451-9600-6608.
