Title: a. RECOMMENDATION:

 

It is recommended the Board of Supervisors:

 

a.                     Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute an Agreement, with a retroactive start date of January 1, 2017, with UHS Surgical Services, Inc. (UHS), for the provision of Lithotripsy, Cryotherapy and Laser Guided Imagery services, containing non-standard risk terms regarding indemnification, disclaimer of warranties and liability limitation, in the amount of $125,000, for the period of January 1, 2017 through December 31, 2020.

b.                     Authorize the Deputy Purchasing Agent for NMC or his designee to execute up to three (3) future amendments to the Agreement which do not significantly alter the scope of work and do not cause an increase of more than ten percent ($12,500) of the original cost of the Agreement per each Amendment.

 

SUMMARY/DISCUSSION:

 

UHS provides mobile Lithotripsy, Cryotherapy and Laser Guided Imagery services for Natividad Medical Center.  Lithotripsy procedures involve using shock/sound waves to pulverize problematic kidney stones into smaller pieces.  Cryotherapy is the application of extreme cold to treat both benign and malignant lesions of various organs of the body such as the prostate or uterus.  Using either nitrogen or argon gas, introduced into the organ, causes crystallizing (freezing) of the liquid found inside the cells.  Laser Guided Imagery is the use of a laser to focus on a specific area during a medical procedure.  

 

Lithotripsy procedure is beneficial to patients as it prevents from major surgery.  Recovery time is much shorter than a major surgical procedure.   

 

The anticipated start date of this Agreement was January 1, 2017.  Negotiations delayed the ability to present this item to the Board of Supervisors in December 2016; therefore, the need for a retroactive start date. 

 

OTHER AGENCY INVOLVEMENT:

 

County Counsel has reviewed and approved this Agreement as to legal form, and reviewed but declined to approve as to risk provisions.  The Auditor-Controller has reviewed and approved as to payment provisions. The Agreement was reviewed by NMC’s Finance Committee on October 27, 2016, and Board of Trustees on November 4, 2016.

 

FINANCING:

 

The total cost for this Agreement is not to exceed $125,000, of which $40,000 was included in the Fiscal Year 2016-17 Adopted Budget.  Funding for future years of the Agreement will be included in those budgets, as appropriate.  There is no impact to the General Fund.
