RECOMMENDATION:
It is recommended that the Board of Supervisors:
Approve delegation of authority to the Director of Health to execute the Acknowledgement and Consent to the Assignment and Assumption Agreement between Emmanuel Inneh dba Monterey Bay Guest Home and Monterey Bay Guest Home Inc. effective July 10, 2014, to allow the new business name and newly assigned Federal Employer Identification Number to assume the original agreement.
SUMMARY/DISCUSSION:
The County of Monterey ("County") entered into a Mental Health Services Agreement (August 1, 2014-June 30, 2017) with Emmanuel Inneh dba Monterey Bay Guest Home ("MBGH") for the provision of board and care services for Monterey County adult residents with severe psychiatric disabilities. On February 12, 2015, MBGH gave written notice to the County of their name change and newly assigned Federal Employer Identification Number by submitting an updated vendor record form, a new 2015 Withholding Exemption Certificate 590 form and a copy of their Articles of Incorporation form filed with the State of California ("State"). According to the Articles of Incorporation filed with the State, on July 10, 2014, MBGH, formerly a sole proprietorship; became a C corporation and changed their business name from Emmanuel Inneh dba Monterey Bay Guest Home to Monterey Bay Guest Home, Inc. Board approval of the Assignment and Assumption Agreement is required pursuant to Section XXI., paragraphs B. and O. of the County's Mental Health Services Agreement.
This work supports the following Monterey County Health Department 2011-2015 strategic plan initiative: 3) Ensure access to culturally and linguistically appropriate, customer-friendly, quality health services. It also supports one or more of the ten essential public health services, specifically: 7) Link people to needed personal health services and assure the provisions of health care when otherwise unavailable.
OTHER AGENCY INVOLVEMENT:
County Counsel and the Auditor-Controller have reviewed and approved this Agreement as to legal form and fiscal provisions. This Agreement is on file with Clerk of the Board.
FINANCING:
There is no cost associated with the Assignment and Assumption Agreement.
