a. Approve and authorize the Director of the Department of Social & Employment Services, or his designee, to sign a contract with the Regents of the University of California, U.C. Davis Extension in the amount of $56,848 for the provision of staff training for the period July 1, 2012 through June 30, 2013, including non-standard mutual indemnity; and
b. Authorize the Director of the Department of Social & Employment Services, or his designee, to sign up to three (3) amendments to this agreement, where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Director of the Department of Social & Employment Services, or his designee, to sign a contract with the Regents of the University of California, U.C. Davis Extension in the amount of $56,848 for the provision of staff training for the period July 1, 2012 through June 30, 2013, including non-standard mutual indemnity; and
b. Authorize the Director of the Department of Social & Employment Services, or his designee, to sign up to three (3) amendments to this agreement, where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
Under this agreement UC Davis Extension will provide the Aging and Adult Services, Community Benefits, CalWORKS Employment Services, Administrative Services and Human Resources Branches with training to enhance worker skills essential for providing quality customer service to the community. The specific topics will be determined at a later time. The agreement provides for sixteen (16) units (days) of training.
Contractor requires that the agreement is executed using the UC Davis standard agreement form, which includes non-standard mutual indemnification. The County has signed the UC Davis standard agreement, including mutual indemnification, for the past eleven years beginning in FY 2000/2001. It is the Department's position that approval of this exception to the County's standard indemnity language is necessary due to limited alternative resources for the training, and the need for uninterrupted service. The agreement was delayed coming to the Board for approval due to a delay in receiving insurance documents from UC Davis required for County's approval process.
OTHER AGENCY INVOLVEMENT:
County Counsel, the Auditor-Controller and Purchasing have reviewed and approved this Agreement, with the exception of the non-standard mutual indemnity, which is presented to the Board for approval.
FINANCING:
Sufficient appropriations and estimated revenues in SOCOO5 are included in the FY 2012-13 Adopted Budget. The County's match will be provided by the Regents of the University of California, UC Davis Extension through in-kind services. Approval of this action has no impact on the County General Fund.
