RECOMMENDATION:
It is recommended that the Board of Supervisors:
Accept, and approve by resolution, the second reorganization of the bylaws of Monterey County's Animal Control Program Advisory Board.
SUMMARY/DISCUSSION:
On April 30, 2002, the Board of Supervisors approved reorganization of the bylaws of Monterey County's Animal Control Program Advisory Board (Advisory Board). The purpose of the reorganization was to address a longstanding situation in which a quorum of the original 15 members, which included both appointed and ex-officio members, was rarely obtained, thus impeding the Advisory Board's ability to meet for business. Typically, most of the ex-officio members did not, and do not currently, participate in the meetings of the Advisory Board. The solution, as approved by the Board of Supervisors, was to limit the Board's membership to the 9 appointed members for purposes of obtaining a quorum, only a majority of whom would need to appear at meetings to constitute a functioning quorum. However, the reorganized bylaws did not specifically address the presumptive right of ex-officio members to vote, leaving the lawful constitution of a quorum open to interpretation.
Therefore, this second proposed reorganization of the bylaws of Monterey County's Animal Control Program Advisory Board, attached as Exhibit 1a, is designed to put the issue to rest by adopting the following rules:
Under the second proposed reorganization of bylaws, the Advisory Board would consist of fifteen members total, as before, but now clearly specifying that nine of the members shall be appointed, voting members, and six of the members shall be ex-officio, non-voting members, and that a quorum shall be a majority of all appointed members constituting the Advisory Board.
With regard to the nine appointed members, one member shall be appointed by each Supervisor and 4 members shall be appointed by the Director of Health. While ex-officio members shall not have a right to vote or be appointed Chair or Vice Chair of the Advisory Board, they may observe and participate in the activities of the Advisory Board, including sitting on standing or ad hoc subcommittees.
The original bylaws established by Resolution 90-367 dated June 12, 1990, are attached as Exhibit 2. Also attached as Exhibit 3 is Resolution 02-165 dated April 30, 2002, with the associated Board Report and adopted reorganized bylaws.
