a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute an agreement with PatientPoint Solutions, LLC for regulatory content to be used in a patient handbook at NMC, with an amount not to exceed $17,800 with an agreement term April 1, 2019 through March 31, 2021; and
b. Approve the NMC Chief Executive Officer’s recommendation to accept non-standard language and provisions within the agreement.

RECOMMENDATION:
It is recommended the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute an agreement with PatientPoint Solutions, LLC for regulatory content to be used in a patient handbook at NMC, with an amount not to exceed $17,800 with an agreement term April 1, 2019 through March 31, 2021; and
b. Approve the NMC Chief Executive Officer’s recommendation to accept non-standard language and provisions within the agreement.
SUMMARY/DISCUSSION:
All patients that are admitted to Natividad receive a patient handbook. The patient handbook contains general hospital information as well as regulatory required information. Natividad desires to contract with PatientPoint Network Solutions, LLC to provide the regulatory required content. PatientPoint Network Solutions, LLC will provide Natividad a word document to include the following non-customizable content: using antibiotics safely, advanced directives, advanced care plans, ask me 3, and support for caregivers. PatientPoint Network Solutions, LLC is responsible for ensuring that the content is current and accurate. They will send updates to the hospital during the term of the agreement.
This agreement underwent extensive vetting by County approvers. There are numerous technical aspects and non-standard risk provisions that were negotiated and rewritten, such as Indemnification, Confidentiality, Payments, Warranty Disclaimer, Insurance, Term and Termination, Modification, Assignment, Miscellaneous provisions, Limitations on Liability, Warranties and Representations and Limitations on Damages.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this non- standard agreement as to legal form, and the Auditor-Controller has reviewed and approved as to payment provisions. The non-standard agreement has also been reviewed and approved by NMC’s Finance Committee on February 28, 2019 and by its Board of Trustees on March 1, 2019.
FINANCING:
The cost for this non- standard agreement is $18,700 of which $8,900 which is included in the Fiscal Year 2018-19 Adopted Budget. Amounts for remaining years of the agreement will be included in those budgets as appropriate.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
Improve health and quality of life through County supported policies, programs and services, promoting access to equitable opportunities for health choices and health environments in collaboration with communities. The services rendered in this agreement provide NMC with the additional support it needs to be able to provide reliable and quality patient care which improves the health and quality of life for patients and their families.
