RECOMMENDATION:
It is recommended that the Board of Supervisors:
Authorize the Contracts/Purchasing Officer to execute the Acknowledgement and Consent to the Assignment and Assumption Agreement No. 2 between Aegis Receivables Management, Inc. dba Aegis RapidText, Inc. and Aegis USA, Inc. effective August 7, 2014.
 
SUMMARY/DISCUSSION:
The County of Monterey has a current Professional Services Agreement (July 1, 2011-June 30, 2015) with Aegis Receivables Management, Inc. dba Aegis RapidText, Inc. (ARMI dba ARTI) to provide medical translation and transcription services.  On July 25, 2014, ARMI dba ARTI gave written notice the contract was acquired by Aegis USA, Inc.  
 
An Assignment and Assumption Agreement was entered on August 7, 2014 between ARMI dba ARTI, which agreed to assign all of its rights and obligations of the Agreement to Aegis USA, Inc., and Aegis USA, Inc., which agreed to assume the rights and obligations of the Agreement.  
 
This Acknowledgement and Consent of the Assignment and Assumption Agreement between ARMI dba ARTI and Aegis USA, Inc., which signifies the County's approval of the assignment and assumption of the Agreement, has been delayed coming to the Board due to a delay in receiving the required insurance documents.  Board approval of the Assignment and Assumption Agreement is required pursuant to sections 15.06 and 15.07 of the County of Monterey Professional Services Agreement.
 
OTHER AGENCY INVOLVEMENT:
County Counsel and the Auditor-Controller have reviewed and approved this Agreement as to legal form and fiscal provisions. This Agreement is on file with the Clerk of the Board.
 
FINANCING:
There is no cost associated with the Assignment and Assumption Agreement No. 2 or the Acknowledgement and Consent to Assignment and Assumption Agreement No. 2.
