RECOMMENDATION:
It is recommended the Board of Supervisors:
Approve and authorize the Interim Chief Executive Officer for Natividad Medical Center (NMC) or a designee to sign the Acknowledgment and Consent, effective upon execution by the County of Monterey, to an Assignment and Assumption Agreement between Raimi + Associates, Inc. (“Raimi”) and Alta Planning + Design, Inc. (“Alta”) assigning from Raimi to Alta the rights and obligations of County Agreement No. A-16067, for the provision of strategic planning.
SUMMARY:
Natividad partnered with Raimi and Associates to develop its three-year strategic plan. The Monterey County Health Department recommended Raimi and Associates as they had used them in the past for some of their strategic planning efforts. Natividad had worked on a draft strategic plan prior to the pandemic and decided to bring the key stakeholders, including the Monterey County Health Department, together to develop a refreshed strategic plan. Raimi and Associates spearheaded the process, making sure their process was transparent, inclusive, and accessible for a wide range of stakeholders. They conducted meetings both in person and virtually using a variety of facilitation techniques, including small and large group discussions, and other approaches that consider literacy, culture, and diverse learning and communication styles. The hospital strategic plan was completed in Fiscal Year 2025. Natividad continued to work with Raimi and Associates during Fiscal Year 2026 to develop a dashboard.
As of February 2026, Raimi and Associates has been acquired by Alta. To ensure continuity of services under existing and Future agreements, Natividad Medical Center is requesting approval to execute an Acknowledgement and Consent to and Assignment and Assumption between Raimi and Associates and Alta.
DISCUSSION
The acquisition of Raimi and Associates by Alta necessitates the formal assignment of existing Agreements to the new entity. The proposed Acknowledgement and Consent to an Assignment and Assumption Agreement will allow Alta to assume all rights, responsibilities, and obligations previously held by Raimi under the current Agreements.
Approval of this action will ensure there is no disruption in services or payments and will allow the hospital to continue receiving the strategic planning services that support ongoing health equity initiatives and departmental operations.
There are no changes to the scope of work, service delivery, or funding associated with this action. This request is administrative in nature and is intended solely to recognize the corporate transition and maintain contractual continuity.
OTHER AGENCY INVOLVEMENT:
The Office of County Counsel has reviewed and approved this agreement as to form, and the Auditor-Controller has reviewed and approved as to payment provisions. The agreement has also been reviewed and approved by NMC’s Finance Committee and by its Board of Trustees on October 2, 2026.
FINANCING:
There is no cost for this Assignment and Assumption agreement. There is no impact on the General Fund with this action.
BOARD OF SUPERVISORS STRATEGIC PLAN GOALS SECTION:
The strategic plan serves as a well thought roadmap for the hospital, identifying many growth and service line expansion opportunities. Implementation of strategies in the strategic plan may result in improved access to much needed services for the residents of Monterey County.
