a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Hospital Services Agreement with Specialists on Call, Inc., (SOC), a Delaware corporation and Tele-Physicians, P.C., a California professional corporation doing business as Specialists on Call Physicians and as California Tele-Physicians to provide tele-neurology consultative services at NMC for an amount not to exceed $400,000 for the period February 1, 2016 to January 31, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% of the original contract amount ($40,000) and do not significantly change the scope of work.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) or his designee to execute the Hospital Services Agreement with Specialists on Call, Inc., (SOC), a Delaware corporation and Tele-Physicians, P.C., a California professional corporation doing business as Specialists on Call Physicians and as California Tele-Physicians to provide tele-neurology consultative services at NMC for an amount not to exceed $400,000 for the period February 1, 2016 to January 31, 2018; and
b. Authorize the Deputy Purchasing Agent for NMC or his designee to sign up to three (3) amendments to this Agreement where the total amendments do not extend the term by more than twelve (12) months, do not exceed 10% of the original contract amount ($40,000) and do not significantly change the scope of work.
SUMMARY/DISCUSSION:
In order to ensure a high standard of care to patients presenting with strokes and other neurological emergencies in the emergency department, NMC has an agreement with Specialists on Call to provide 24/7 neurology emergency and consultative services via specialized electronic telemedicine equipment. The current agreement was entered into on December 18, 2012 and was amended effective January 1, 2016 for one month to extend the date while the terms of the renewal agreement were still being settled.
Specialists on Call provides one portable teleconferencing device for the transmission of still images and vital signs and remote neurological consultative services by SOC clinicians. Services include indirect physical exams, history taking, diagnostic protocols, imagining analysis and recommendations for therapeutic interventions and/or diagnostic tests for any neurologic emergency. NMC wishes to enter into this renewal agreement with SOC so that they can continue to provide the same services to patients without interruption. This is twenty-four month agreement with the option to terminate in response to non-appropriation of government funding.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center’s Finance Committee on October 22, 2015 and Board of Trustees on November 6, 2015.
FINANCING:
The total cost for this Agreement $400,000 for the period February 1, 2016 to January 31, 2018. $84,000 is included in the Fiscal Year 2015/2016 Adopted Budget. The remaining $316,000 will be budgeted in subsequent Fiscal Years. There is no impact to the General Fund.
