RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Approve and authorize the Contracts/Purchasing Officer to execute the extension and Amendment No. 1 of Master Services Agreement between the County of Monterey and CGI Technologies and Solutions, Inc. to April 7, 2017;
b. Approve and authorize the Contracts/Purchasing Officer to execute the extension and Amendment No. 1 to Master Proprietary Software Maintenance Agreement-Standard Support and Maintenance Services between the County of Monterey and CGI Technologies and Solutions, Inc. to April 7, 2017, which includes a five percent annual increase over five years.
SUMMARY/DISCUSSION:
On April 1, 2008, the Board of Supervisors approved and authorized the Contracts/Purchasing Officer to sign the Enterprise Resource Planning (ERP) Master Services Agreement and Master Proprietary Software Maintenance Agreement with CGI Technologies and Solutions, Inc. (CGI). The Master Services Agreement includes special language approved by the Board of Supervisors for governance, compensation, deliverables, acceptance, indemnification and insurance.
This Board Report recommends the extension and Amendment No. 1 of Master Services Agreement and the Master Proprietary Software Maintenance Agreement-Standard Support and Maintenance Services between the County of Monterey and CGI Technologies and Solutions, Inc. to April 7, 2017. The extension and amendments are allowed by the terms of the agreements.
Extension of the Master Services agreement allows the County to develop Statements of Work with CGI to add interfaces and components such as Kronos timekeeping, SAP business objects (reporting) and the Meditech hospital financial system. Extension of the Standard Support and Maintenance agreement allows the County to receive essential maintenance services (patches, issue resolution and consultation) on the ERP software performance.
OTHER AGENCY INVOLVEMENT:
The extensions and Amendments have been prepared with the assistance of CGI Technologies and Solutions, Inc. and County Counsel.
FINANCING:
Approval of the extensions of the Master Services and Master Proprietary Software Maintenance Agreements allow continued services and maintenance of the ERP systems. The 2012-13 maintenance costs are included in the 2012-13 Adopted Budget. The five percent annual increases will be included in future budgets. Costs incurred by the Master Services are subject to Board approval of Statements of Work.
