a. Authorize the Interim Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute the First Amendment to the Professional Services Agreement with Alan Smith D.P.M. to provide podiatry services, extending the term by twenty-four months (January 1, 2027 to December 31, 2028) for a revised full agreement term of September 1, 2024 to December 31, 2028, and adding $200,000 for a revised total not to exceed amount of $400,000 in the aggregate; and
b. Authorize the Interim CEO for NMC or a designee to sign up to three future amendments to this Agreement where the total amendments do not significantly change the scope of work and do not cause and increase of more than 10% ($20,000) of the original contract amount and do not increase the total contract amount above $420,000.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Interim Chief Executive Officer for Natividad Medical Center (NMC) or a designee to execute the First Amendment to the Professional Services Agreement with Alan Smith D.P.M. to provide podiatry services, extending the term by twenty-four months (January 1, 2027 to December 31, 2028) for a revised full agreement term of September 1, 2024 to December 31, 2028, and adding $200,000 for a revised total not to exceed amount of $400,000 in the aggregate; and
b. SUMMARY:
Natividad Medical Center operates the D’Arrigo Family Specialty Services Outpatient Clinic offering over fifteen different specialty care services including podiatry.
DISCUSSION:
NMC has an agreement with Alan Smith, D.P.M. to provide podiatry services in the outpatient specialty clinic. NMC wishes to amend the agreement with Dr. Smith to extend the term and add an additional twenty-four months in order to continue to provide podiatry services without interruption. Dr. Smith is paid an hourly rate according to the terms of the agreement, although the services provided may increase or decrease due to patient volume, the rate of pay remains the same. NMC has obtained an independent opinion on of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT/COMMITTEE ACTIONS:
County Counsel has reviewed and approved this Amendment as to legal form. Auditor-Controller has reviewed and approved this Amendment as to fiscal provisions. The Amendment has also been reviewed and approved by NMC’s Finance Committee and Board of Trustees.
FINANCING:
The cost for this Amendment is $200,000. The actual cost is contingent on Dr. Smith’s availability for the clinic schedule. Funding will be provided from Natividad Medical Center’s Enterprise Fund 451-9600-6608.
