RECOMMENDATION:
It is recommended that the County of Monterey Board of Supervisors:
Approve and authorize the Director of Health Services or designee to execute the Acknowledgement and Consent to the Assignment and Assumption Agreement between Castlewood Holding Company, dba: Alsana an Eating Recovery (Assignor) and Alsana Parent Holdings LLC dba Alsana West NorCal LLC and Alsana Parent Holdings LLC dba Alsana West SoCal LLC (Assignee), to assume roles and obligations under the provisions of Mental Health Services Agreement A-16989 retroactive to January 23, 2026.
SUMMARY:
Effective July 1, 2024, the County of Monterey and Assignor enter into Mental Health Service Agreement A-16989 to provide Residential Services, Day Treatment Services and Intensive Outpatient Services as authorized by the County of Monterey Department of Health, Behavioral Health Bureau (MCHDBHB).
DISCUSSION:
Under the provisions of the Assignment and Assumption Agreement before your Board, the Assignor, Castlewood Holding Company, dba: Alsana an Eating wishes to assign to the new entity Alsana Parent Holdings LLC dba Alsana West NorCal LLC and Alsana Parent Holdings LLC dba Alsana West SoCal LLC, the Assignee, all of its rights, title and interest in and to, and all of its obligations under, the Agreement as of January 23, 2026, and Assignee desires to accept such assignment and to assume such obligations as of January 23, 2026.
This Assignment and Assumption is made to confirm the County of Monterey acknowledgement and consent of Assignor intentions to assign its rights, title, and interest in and to, and all of its obligations under, the aforementioned Agreement to Assignee, and Assignee accepts such assignment and to assume such obligations.
The Board approved the MHS Agreement A-16989 with the Assignor on July 1, 2024. Therefore, it is essential for the Board to also approve the transfer of roles, responsibilities, and obligations to the Assignee.
OTHER AGENCY INVOLVEMENT/COMMITTEE ACTIONS:
The office of the County Counsel and Auditor-Controller have reviewed and approved as to legal form and fiscal provisions, respectively.
FINANCING:
There is no cost associated with this Assignment and Assumption Agreement.

This Assignment and Assumption Agreement will allow continued access to services for eligible residents within the community, aligning with the Strategic Plan Goal of Well-Being and Quality of life.
