RECOMMENDATION:
It is recommended that the Board of Supervisors:
Approve and authorize the Chief Information Officer of the Information Technology Department to sign a non-standard Non-Disclosure and Confidentiality Agreement with AT&T Corporation regarding proprietary Minimum Point of Entry (MPOE) reports.
SUMMARY/DISCUSSION:
The Information Technology (IT) Department is charged with protecting the confidentiality of the County’s network information. However, to effectively work with certain vendors, the County must release information of a confidential nature in order to plan and complete various projects and validate services.
The IT Department is working with AT&T to validate circuit connectivity at County sites. This agreement allows us to work with AT&T and receive reports of services located at specific sites to cross-reference with current monthly bills in an effort to verify invoices and potentially save the County money. To complete this project ITD needs to consult with AT&T Corporation and obtain these service reports.
The County proposed the County’s approved Non-Disclosure Agreement (NDA), and although AT&T has signed the County’s NDA previously, accessing drawings and documentation related to current state of 911 phone system components, AT&T refused to sign the County’s NDA for the purpose of providing Minimum Point of Entry (MPOE) reports. Without these reports the County cannot verify circuits or lines that AT&T has terminated at each County building.
Accordingly, the Chief Information Officer of the Information Technology Department sees this non-standard NDA as low-risk, and recommends that the Board to approve and authorize to execute the attached non-standard Non-Disclosure and Confidentiality Agreement with AT&T Corporation.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed the Non-Disclosure and Confidentiality Agreement as to form. County Counsel cannot approve the non-standard Non-Disclosure and Confidentiality Agreement because it is one-sided and without County-authorized terms.
FINANCING:
There is no cost associated with the approval or use of the Vendor Non-Disclosure Agreement to the General Fund.
BOARD OF SUPERVISORS STRATEGIC INITIATIVES:
The recommended Non-Disclosure and Confidentiality will allow the County to verify monthly telephone bills with AT&T ensuring the County is being charged appropriately.
