a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) to execute the Professional Services Agreement with Advanced Gastroenterology of Monterey County to provide gastroenterology services at NMC for an amount not to exceed $900,000 for the period April 1, 2015 to June 30, 2017;
b. Authorize the Deputy Purchasing Agent for NMC to sign up to three (3) amendments to the agreement where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work; and
c. Authorize the Deputy Purchasing Agent for NMC to execute a notice of termination letter for the existing Agreement Advanced Gastroenterology of Monterey County.

RECOMMENDATION:
It is recommended that the Board of Supervisors:
a. Authorize the Deputy Purchasing Agent for Natividad Medical Center (NMC) to execute the Professional Services Agreement with Advanced Gastroenterology of Monterey County to provide gastroenterology services at NMC for an amount not to exceed $900,000 for the period April 1, 2015 to June 30, 2017;
b. Authorize the Deputy Purchasing Agent for NMC to sign up to three (3) amendments to the agreement where the total amendments do not exceed 10% of the original contract amount, and do not significantly change the scope of work; and
c. Authorize the Deputy Purchasing Agent for NMC to execute a notice of termination letter for the existing Agreement with Advanced Gastroenterology of Monterey County.
SUMMARY/DISCUSSION:
NMC has an agreement with Advanced Gastroenterology of Monterey County for Mumtaz Tabbaa M.D. to provide gastroenterology call coverage in the emergency department. NMC wishes to enter into this new Agreement with Advanced Gastroenterology of Monterey County prior to the natural term date to add outpatient clinic services to the scope of work and to change the payment arrangements where NMC bills and collects for services. The existing Agreement with Advanced Gastroenterology of Monterey County shall terminate upon the Board approval and execution of this new Agreement.
Advanced Gastroenterology of Monterey County is paid according to the terms of this agreement for the actual number of call coverage and clinic services provided, which may increase due to patient volume and the need for coverage, but will not increase the rate of pay or exceed the aggregate maximum liability amount. NMC has obtained an independent opinion of fair market value supporting the payment terms of this Agreement.
OTHER AGENCY INVOLVEMENT:
County Counsel has reviewed and approved this Agreement as to legal form and risk provisions. Auditor-Controller has reviewed and approved this Agreement as to fiscal provisions. The Agreement has also been reviewed and approved by Natividad Medical Center's Finance Committee on March 5, 2015 and the Board of Trustees on March 6, 2015. The Agreement that was presented to the Finance Committee and the Board of Trustees had an effective date of May 1, 2015, but subsequent meetings with the physician caused the effective date to move up one month to April 1, 2015 and the not to exceed amount to increase to include the extra month of services.
FINANCING:
The total cost for this Agreement $900,000 for the period April 1, 2015 to June 30, 2017. $100,000 is included in the Fiscal Year 2014/2015 budget; the remaining $800,000 will be budgeted in subsequent Fiscal Years. There is no impact to the General Fund.
