RECOMMENDATION:
It is recommended that the Board of Supervisors:
Authorize the Contracts/Purchasing Officer to execute the Acknowledgement and Consent to the Assignment and Assumption Agreement between TR & Associates, Inc. and TFR Medical Services, Inc., effective August 29, 2013. The contract is for the provision of services related to credentialing and re-credentialing of health care providers and facility applications for the Clinic Services Bureau of the Health Department.
SUMMARY/DISCUSSION:
The County of Monterey entered into a Professional Services Agreement with TR & Associates, Inc. to provide medical provider credentialing services from July 1, 2009 to June 30, 2014. On April 3, 2013, TR & Associates, Inc. gave written notice that a new business, TFR Medical Services, Inc. would be replacing TR & Associates, Inc. to provide medical provider credentialing services. The owners and officers of the former business are the same as the new business.
An Assignment and Assumption Agreement was entered into on August 29, 2013 between TR & Associates, Inc. and TFR Medical Services, Inc., pursuant to which TR & Associates, Inc. (Assignor) agreed to assign all of its rights and obligations under the Agreement with TFR Medical Services, Inc. (Assignee), which agreed to assume the rights and obligations of the Agreement. Pursuant to the Acknowledgment and Consent, the County would approve of the assignment and assumption of the underlying Agreement.
