a. Authorize the Chief Information Officer of the Information Technology Department, or designee, to execute Amendment No. 3 to the non-standard Master Subscription Agreement with Zoom Video Communications, Inc. by adding the non-standard Business Associate Agreement, adding references to the Health Insurance Portability and Accountability Act laws; and
b. Authorize the Director of Health Services or her designee to sign the Business Associate Agreement ("BAA"); and
c.Authorize the Chief Executive Officer of Natividad Medical Center to sign the Business Associate Agreement ("BAA").

RECOMMENDATION:
It is recommended the Board of Supervisors:
a. Authorize the Chief Information Officer of the Information Technology Department, or designee, to execute Amendment No. 3 to the non-standard Master Subscription Agreement with Zoom Video Communications, Inc. by adding the non-standard Business Associate Agreement, adding references to the Health Insurance Portability and Accountability Act laws; and
b. Authorize the Director of Health Services or her designee to sign the Business Associate Agreement ("BAA"); and
c. Authorize the Chief Executive Officer of Natividad Medical Center to sign the Business Associate Agreement ("BAA").
SUMMARY/DISCUSSION:
In June 2019, the Board of Supervisors approved a non-standard Master Subscription Agreement with Zoom Video Communications, Inc. (Zoom). In February 2020, the County amended the contract to increase the number of Zoom Room licenses purchased, allowing ITD to enable more County conference rooms to have video conferencing capabilities due to the Covid-19 Pandemic work-from-home situation.
Zoom continues to provide all County departments with video conferencing needs.
