RECOMMENDATION:

a. Authorize the Chief Executive Officer for Natividad Medical Center (NMC) or his designee to execute a Business Associate Agreement (BAA) with Health Management Associates.

b. Approve the NMC’s Chief Executive Officer’s recommendation to accept the non-standard provisions of the BAA.

SUMMARY/DISCUSSION:

Health Management Associates, Inc. (HMA) is a consulting firm experienced program development with a deep knowledge of county public hospital and health system operations. HMA will work with Natividad and Health Department leadership to assist in improving operational and clinical alignment and efficiency of the County of Monterey health portfolio.

HMA will provide guidance regarding; unified planning via this agreement and opportunities for achieving shared operational efficiencies via this amendment.  Specific operational improvements will focus on improving appointment access, patient communication, and quality improvement.

Natividad seeks Board approval of a Business Associate Agreement (“BAA”) to be appended as an exhibit to a standard services agreement that will be signed by the CEO for Natividad with Health Management Associates. Board approval will not be required for the services agreement., but Board approval is required for this non-standard BAA. Natividad seeks approval of (1) the timeline allowed for notification by Business Associate to Covered Entity, (2) termination and (3) indemnity.

OTHER AGENCY INVOLVEMENT:

County Counsel recommended Board approval of the BAA be obtained.

FINANCING:

There are no fiscal provisions included in the BAA. Approval of the BAA will have no impact on Natividad’s adopted budget...
