AMENDMENT NO. 1 TO AGREEMENT #11606

By and Between

COUNTY OF MONTEREY and The Lipman Company

Professional Services Agreement #11606 was made and entered into the 7th day of

December 2009 by and between the County of Monterey COUNTY), a political

subdivision of the State of California, and The Lipman Company CONTRACTOR) for

the administration of the County of Monterey Section 125 Plan.

WHEREAS, the COUNTY and CONTRACTOR wish to amend the Agreement to extend

the term of the agreement.

NOW THEREFORE, the COUNTY and CONTRACTOR hereby agree to amend the

Agreement in the following manner:

1. Section 3. TERM OF AGREEMENT" shall be amended by extending the

termination date from December 6, 2010 to December 6, 2011.

2. Except as provided herein, all other terms and conditions of the amended

Agreement shall continue in full force and effect.

IN WITNESS WHEREOF, COUNTY and CONTRACTOR have executed this Agreement as

of the day and year written below.

SUBJECT: Approve Amendment No. 1 to Agreement #11606 with The Lipman Company

extending the expiration date from December 6, 2010 to December 6, 2011.

RECOMMENDATION:

It is recommended the Board of Supervisors approve Amendment No. 1 Attachment A) to

Agreement #11606 with The Lipman Company TLC) extending the expiration date from

December 6, 2010 to December 6, 2011.

SUMMARY:

Extending this contract will allow time for a formal RFP Request for Proposals) process while

maintaining the third party administration of the ABO Alternative Benefit Option) Program, the

DECAP Dependent Care Assistance Program) and the Optional Benefits Program currently offered

by the County of Monterey.

DISCUSSION:

The contract with TLC was put in place in December 2009 during the implementation phase of the

Payroll module of the ERP Enterprise Resource Project). The previous vendor was not capable of

interfacing with the new ERP and to avoid delaying the project, this contract was put in place.

Subsequently, implementation of the Payroll module was delayed until the fall of 2010. Now that

the implementation has occurred and a more accurate scope of work has been developed, it is

possible to conduct a formal RFP for a TPA Third Party Administrator) for the ABO, DECAP and

Optional Benefits Programs.

OTHER AGENCY INVOLVEMENT:

None.

FINANCING:

No additional financing is required for this action.
